Head - Company Secretary - Financial Services Firm (13-21 yrs)
Key Responsibilities:
Corporate Governance:
- Advise the board of directors on corporate governance best practices and compliance with relevant laws and regulations.
- Organize and facilitate board meetings, ensuring compliance with legal requirements and proper documentation of meeting minutes.
- Manage the process of board appointments, retirements, and rotations, and assist in the development of board policies and charters.
Company Secretarial Duties:
- Maintain the company's statutory registers, records, and books.
- Handle the company's share registry and oversee the issuance and transfer of shares.
- Manage the process of shareholder communications and meetings, including AGMs (Annual General Meetings).
Corporate Records Management:
- Maintain and safeguard important corporate documents, contracts, and records.
- Ensure the company's compliance with document retention policies.
Stakeholder Relations:
- Act as a liaison between the company and its shareholders, regulators, and other stakeholders.
- Handle inquiries and requests from shareholders and regulatory authorities.
Team Management:
- Supervise and mentor company secretarial staff, if applicable.
- Ensure the efficient functioning of the company secretarial department.
