Head - Company Secretary & Compliance Officer - Manufacturing (18-25 yrs)
Head Company Secretary & Compliance Officer
Should be Company Secretaries and LLB
- Secretarial experience preferably more than 20 years in a listed company out of which minimum S years as Head of Secretarial department, in similar kind of organization will be preferred.
- Responsibilities of company secretaries : Company Secretary is a key managerial person in a company, responsible to ensure the effective and efficient administration of the company and certifying the company's compliance with the provision of the Act.
- A vital link between the company and its Board of Directors, shareholders, government and regulatory authorities and all other stakeholders.
- Responsible for ensuring that the Board procedures are followed and regularly reviewed and provides guidance to Chairman and the Directors on their responsibilities under various laws.
- Active support to other Group Companies.
Roles & Responsibilities :
- Managing and ensuring Compliances with secretarial and corporate laws for Promoter Group Companies comprising of Listed Company, Public Limited Companies, Private Limited Companies, Debenture listed Companies, Section 8 Company and Trusts comprising of Registered Charitable Trusts, Unregistered Trusts.
- Co-ordinating board/committee/annual general meetings/extra ordinary general meeting and follow-up actions thereof. Custodian of corporate records, statutory books and registers. Communication with various stakeholders, like Shareholders, Government, Regulators, Authorities, etc. Good networking with Stock Exchanges, Registrar of Companies, Regional Director, SEBI, etc.
- Responsible for ensuring that the Board procedures are followed and regularly reviewed and provides guidance to Chairman and the Directors, ensuring Corporate Governance, Code of Conduct & Business Ethics.
