Head/AGM/GM - Legal - Real Estate (8-12 yrs)

Salary offered: 12 - 15 LPA

Candidates Only from Real Estate preferably from South India Preferred.

Legal :

- To lead and manage all legal issues of company with respect to project contracts, commercial contracts, business related contracts, arbitration,(Across all Company Infra projects) to maximize/obtain favorable results as well as minimize the negative effects of legal roadblocks on the business.

- To lead the finalization of project and commercial contracts of energy business this includes domestic and international contracts.

- Support all contract drafting and contract finalization for project execution apart from other relevant legal support to the business.

- Drafting and vetting all documents pertaining to sale of residential/commercial properties like; Project Contracts, Commercial contracts and Business Contracts allotment letters, agreement to sale, sale deeds etc.

- Drafting and vetting all documents pertaining to financial agreements

- Drafting and vetting all Joint Venture Agreements

- Drafting and vetting all Collaboration Agreements

- Drafting and vetting all License Agreements

- Drafting and vetting MOUs, LOIs, etc to safeguard Company interests in various commercial transactions and to also ensure legally secure deals for the company.

- Handle court cases independently, as and when required.

- Liaison with concerned departments to ensure that wherever legal risks have been identified, appropriate courses of action have been taken.

- Provide legal protection and risk management advice to the management.

- Draft, negotiate and manage all contracts - Review and recommend revisions to templates periodically, to reflect new requirements.

- Participation on all department management teams, providing guidance on agreement rights and obligations, and evaluating need for template modification to reflect new requirements.

- Become expert in the Legal Department contract management system and use it daily to track the status of contracts.

- Advising the finance and secretarial departments in understanding the shareholder and share purchase agreements entered into with various investors.

- Develop relationships with sales and appropriate business people to help facilitate successful contracting.

- Train sales and sales support people in the population of standard contracting forms.

- Other duties as assigned, including filing, copying, and scanning documents as necessary through team.

- Review and provide legal advice on tender documents.

- Review ongoing cases and advice management accordingly.

Liaison :

- To lead the Liaison department and assign duties to all the staff of the department. His scope of work includes obtaining clearance from govt authorities before purchasing the land or starting the project.

- Land Survey Report to verify the actual area on sites w.r.t. area on the document.

- Responsible for obtaining all necessary permissions & approvals to be taken from Govt. authorities, statutory authorities before the start of the project like TMC,IOD,CC,OC, etc

- To obtain environment clearance, MOU / POA / Land Development Agreements.

- Obtain necessary legal clearances Fire dept/DG (PWD)/electrical dept.

- Land demarcation /perimeter wall/security/putting up board, etc

- TLR remarks like underground water line /sewage line, High tension lines, gas lines.

- Responsible for electric drinking water connection, SWD connections, etc

Secretarial :

All companies of our group is properly complied with all requirements of various secretarial authorities and as per the requirements

- Coordination with concerned officials for both external & internal as and when required

- To provide various Management Information Systems (reports and statements) and any other inputs are to be submitted on a weekly / fortnightly / monthly basis to the Management as per the requirement.

- All compliances are fulfilled on time as required by various authorities and as per the statutory requirements.

- Coordination & necessary help/ support to finance team wherever required for fund raising.

- Coordinate with the concerned external and internal officials, staff members for all taxation activities and complete the filing, submission of the same to the concerned authorities on time without delay. Any delay or deviations or shortcomings are to be brought to the knowledge of the undersigned immediately.

- All secretarial activities are to be completed / updated on time.

- Organizing due diligence requirements to all investors / lenders

- Compliance of terms and conditions of all sanctions of the lenders / investors.

- Debt servicing, monitoring reports, of the fund raised through bank/PE etc.

- Statutory compliances, ensuring timely filing of returns etc in coordination with all concerned department and timely payments of all statutory dues like ROC, CMDA, DTCP and other similar authorities

- Filing of all tax returns & ROC

- Preparation & submission of all kinds of MIS required by the management.

- To enable full operational control and to ensure that you are fully responsible for all the assigned functions, all the related matters, including but not limited to, listed above must be executed / approved only after your specific approval / recommendations
