Job Description of Company Secretary Job Purpose :&nbsp; The company secretary ensures that the organisation complies with relevant legislation and regulation and keeps board members informed about legal responsibilities. Roles and Responsibilities: - Maintenance of Statutory books and registers and other Secretarial Records. - Drafting agreement and compliance with Schedule V of the Companies Act, 2013. - Preparation of notice of Board Meetings, Committee Meeting, Annual General Meeting, Extra-Ordinary General Meeting and Postal Ballot. - Preparation of DIN and Application of DSC of the Directors of the company. - Drafting of various circular resolutions. - Creation, Modification and Satisfaction of Charge under Companies Act 2013. - Preferential Allotment of Shares as per Companies Act 2013. - Dealing with Regulatory Authorities in regards to maintaining the Corporate Compliances. Job Specification : - Able to be a team leader, guide secretarial team on day to day functions, - Keen to learn, can do attitude, confident to take ownership on the assigned tasks - Ability to handle multiple tasks, excellent communication skills both oral and written. - Education-Bachelor Degree and Qualified Company Secretary. - Should possess at least 8-15 years of experience, Preferably in a listed Company.
