Position Details

Position Title :Group Company Secretary

Location : Abu Dhabi

Job Purpose :

Incumbent to handle all Company Secretarial & Board matters and lead as Group's Company Secretary by designing methodologies to ensure regulatory compliance and adopt best corporate governance practises based on overall structure of business.

To support and deliver end-to-end on key corporate law matters (including on any legal restructuring and IPO plans).

Key Accountabilities :

Corporate Governance :

- Support in setting up a workable Corporate Governance structure for the Group.

- Support in setting up workable board and various committees for the various companies under the Group

- Drafting Board and Board Committee papers on corporate governance and other related matters.

- Undertake corporate governance research and benchmarking exercises.

- Advice on corporate governance best practice and the operation of relevant Group policies.

Corporate Secretarial :

- Manage all corporate secretarial matters including timely compliance of all provisions of Company Laws, compliance of pre and post Board & General Meeting requirements, preparation of agenda and minutes of Board/Committees meetings and General Meetings and adherence to various statutory compliances.

- Provide with input to Our Client Annual Report and Accounts, Strategic Report, Preliminary and Half-Yearly Reports and Interim Management Statements.

- Provide support for the appointment and on-boarding of new Directors and committee members.

- Ensure that company registers are accurately maintained and up to date.

- Responsible for maintaining relevant procedure notes.

Special Projects ( legal restructuring, IPO, mergers, acquisitions etc) :

- Support the function in execution of different types of domestic and cross-border transactions including mergers, demergers, acquisitions, divestitures, joint ventures.

- Support the function in preparing the Group for future IPO & legal restructuring projects

- Support the function for legal documentation and closing of all transactions.

- Appoint and manage Company Secretaries for Group companies and ensure knowledge management processes are in place.

- Create a Standard Operating Procedure, MIS Management for tracking processes.

Qualifications, Experience & Skills :

- Law graduate with accreditation/certification from ICSA, ICSI or their equivalent

- Have diversified domain exposure preferable in Financial Industry.

- Thorough technical knowledge on the global M&A practices, Corporate Law, IPO processes in various key IPO markets like London.

- Experience and demonstrated strength in acquisitions and negotiations.

- Proven track record in the role of Company Secretary.

- Ability to handle entire deal process from origination to closure.

- Manage Projects & Economics. Acquire and Apply Commercial & Technical Expertise.

- Excellent drafting, interpersonal skills, numerical & analytical skills.

- Superior writing & communication skills and ability to handle multiple tasks. Multi-linguistic proficiency (both written & spoken) will be an added advantage.

- Project management skills to ensure day to day working and planning, proper transition of business.

- People management/Client Handling skills
