Drafting :

- Drafting and Vetting of local or international contracts and agreements like Supply Agreement, Dealership Agreement, Distributor Agreement, Tender Documents etc.

- Responsible for verification of title and due diligence of property, drafting of various legal documents related to property which includes drafting of Various Lease Agreement, Leave and License Agreement, Amenities Agreement, Conducting Agreement, Sale Agreement, Deed of Conveyance, Development Agreement, Deed of Rectification, Facility Management Agreement, Agreement for Car Parking Spaces, Letter of Intent, Memorandum of Understandings, Transfer Agreement etc. Calculation of Stamp Duty and Registration of Agreements with Registrar.

- Responsible for drafting of various documents, contracts and agreements such as Letters, Notices, Aggregate Supply Agreement, Concrete Supply Agreement, Boulder Purchase Agreement, C & F Agreement, Dealership Agreement, Consultancy Agreement, Security Services Agreement, Car Hiring Agreement, Transportation Agreement, Service Agreement, Retainership Agreement, Agreement for Providing House Keeping Services, Provident Fund Management Services Contract, Non-Disclosure Agreement, Confidentiality Agreement, Consortium Agreement, Power of Attorney, Indemnity Bonds, Non Disclosure Agreement, Declaration, Undertakings, Affidavits etc.

Litigation:

- Handled various litigations such as Civil suit, Winding up petitions, Complaint u/s. 138 of Negotiable Instrument Act., Summary Civil suit, Arbitration Matters, Consumer Complaints (at District Forum, State Commission and National Commission), Public Interest Litigation (PIL), Quashing Petitions in various High Courts, Criminal Complaint in Police Station and in Magistrate Court.

- Represented Company in Supreme Court, High Courts, Session Court and Metropolitan Magistrate Courts to attend various legal cases. Attended Filing, Verification and Cross Examination procedure in court. Follow up for execution of summons and warrants issued by courts. Negotiated and done out of court settlements in various matters.

- Attended hearing at the office of the Court Receivers. Visited with officers of Court Receivers and Court Valuers for taking the formal possession of the assets.

- Reply to the notices received from various government authorities. Attend hearing in the matter of legal cases filed by any government authorities.

- Follow up with Advocates and Solicitors for various legal matters and also for obtaining any expert opinion on any Legal Matters.

- Drafting of various legal documents like Plaint, Written Statement, Notices, Rejoinder & Complaints.

- Preparation of summary notes and MIS report for each and every case and report to the Management. Also update and keep records of each hearing dates of the Court matters.

Legal / Statutory Compliance:

- Handled Compliance department of the Company to monitor achievement of all statutory compliances applicable to the Company.

- Report the status of compliances to the Board of Directors and top management team of the Company.

- Providing legal guidance and support to the operational team for compliance of any task.

Advisory:

- Provide advice and opinion on legal matters to business team and management of the company.

- Conducted legal awareness training to operational / business team on various legal subjects, statutory compliance management and legal software operations.

Intellectual Property:

- Handled matter related to search, registration and infringement related to Trademark, Design and Patent.

Corporate Laws :

- Co-ordination for Board & General Meetings, preparation of Agenda and Minutes of Meetings etc.

- Preparation and filing of all statutory returns and forms with Registrar of Companies.

- Preparation of Registers required under the Companies Act, 1956.

- To deal with various agencies such as Registrar of Companies, Stock Exchanges, Reserve Bank of India, Securities & Exchange Board of India etc.

- To deal with Advertising Agency for publication of Quarterly Results and Notices in News Papers or for Press Release.

- To Help and assist in Secretarial Audit conducted by Practicing Company Secretary.

- Co-ordination with the share transfer agents of the Company and supervised the functions relating to all aspects of share department.

- To deal with Bankers for opening of Dividend Account and co-ordinate in Reconciliation of Account.

- Formalities for Acquisition of the Company.

- Handled in-house Fixed Deposit Department. Preparation and publication of Advertisement of Fixed Deposit Schemes in the News Papers also filing it with Registrar of Companies. Filing of Fixed Deposit Return with Registrar of Companies.

- Documentation work with Banks for Loans and Creation of Charge, Bank Guarantee etc.
