Job Title : General Manager / Lead - SOX Compliance Location : Mohali, Chandigarh, India About us : We are a leading global agribusiness and food company operating in over 40 countries with approximately 35,000 employees. We have implemented a Shared Services Center in Mohali, India to support Global Operations in areas of Finance &amp; Accounting, Trade Operations, Treasury and IT Support, and other back-office support Services. Objective of the role : - The role will be responsible for supporting the Global SOX Compliance for the scope of services delivered by the company including the centralization of Global SOX testing while ensuring compliance with company policies, US GAAP, and SEC rules and regulations. - Be the key SOX contact, for internal and external stakeholders, for SOX key controls in respect of processes delivered from the company - under the responsibility of business process/control owners, monitor that the key controls are present and functioning as expected after the process transition to the company including identification of new company control owners and training them on the related key controls.&nbsp; This role will also coordinate remediation of SOX deficiencies for the scope of services within company centers, as well as, progressively become responsible to monitor and report control performance, as appropriate. Direct Reporting to: Director, Global SOX PMO Key Interfaces: - Internal - Global/Regional SOX teams; Global/Regional/Segment Finance (including company Finance Service Delivery team), HR, and IT teams. - External - Big4 independent auditor; Big4 management testers Key Responsibilities : - Supporting annual SOX risk assessment and planning activities of the Global SOX PMO - Evaluating and updating SOX scoping templates based on global materiality - Understanding the ongoing business process/system changes and evaluating the impact on SOX testing. - Performing mapping of controls to be tested based on the risk assessment/ scoping. - Performing mid-year scoping re-assessment/ updates. - Performing walk-throughs, interim, and year-end/ roll-forward testing with the engagement of internal/ external management testers and business process/control owners. - Ensure completion of testing within overall Global SOX PMO established timelines. - Validating deficiencies identified by the control testers and ensuring sign-offs by business process/control owners. - Developing remediation plans for identified deficiencies in collaboration with the control testers and business process/control owners. Ensure remediation plans and related timings are agreed with related process/control owners and monitor progress against agreed timelines. - Supporting control testing activities by independent external auditors, including coordinating work paper documentation for reliance controls, supporting escalations (if any), validating deficiencies, and coordinating/monitoring related remediation plans. - Providing regular status updates on control testing progress and deficiencies identified/remediated, as well as inputs for evaluation of year-end open deficiencies. - Supporting coordination of quarterly SOX 302 sub-certification, as needed. - Transitioning SOX testing within the company - Building out an in-house team to perform SOX management testing, deploying consistent testing methodology, tools, and documentation standards, starting with the company and progressively expanding to other company SSCs and Regions working in conjunction with Global SOX PMO. - Training company SOX team on Global SOX methodology and tools, including shadowing external management testers during the 2019 testing cycle. This person must also work well with the remainder of Bunge's reporting teams and with external advisors/auditors. The individual should also demonstrate good mentoring skills to manage teams and develop talent. Competencies/Skills : Highly motivated person with the ability to communicate well with all levels of the organization; ability to work independently with minimal supervision; ability to work well with external auditors and internal process owners, independent self-starter (but knows when and how frequently to communicate); ability to influence others and to gain consensus; organizational, team-building and conflict resolution skills, strong problem solving, project management and people management skills with an ability to work cross-functionally and globally. Knowledge : Technical SOX compliance rules and regulations, solid understanding of internal control frameworks (both business process and IT), including COSO. Experience with agri-commodities trading and food manufacturing, including its unique operating model/structures preferred. Education : - Bachelor's degree in accounting, Business Administration or related field of study, - Professional License - Chartered Accountant or related US certifications (CPA, CIA, etc.) Experience : - 10+ years- experience in finance and accounting, including SOX compliance experience - Internal or External audit experience - experienced gained with Big 4 or reputed US Multi-nationals preferred Key considerations : - Building in-house SOX testing team. - Person should have experience in transitions and building teams. - Good knowledge of testing, documentation, process finding by discussing with process owners across the globe. - Experience from Big 4 organizations like good to have. - this is close to a must-have, as Big 4 experience provides individuals with technical accounting/audit skills as well as develops soft skills (communication, teaming, etc.) in a global setting. Some mix of Big 4 and US multinational experience is preferred. While Agri/commodities industry experience would be useful, open to experience across verticals. - Communication skills should be good as it will be a global role. - Should be motivated, self-starter, and a go-getter to push things along professionally in a matrixed environment and get things accomplished - Global role initiating with APAC, then Europe &amp; slowly moving towards USA. - Team building and leading a team of 8-10 members initially. - Experience of 8-10 years in SOX testing required. - Overall 10+ year experience required - could be a mix of Big 4 and industry with skills in SOX, external/internal audits. - Professional Qualifications like CA, CPA, CIA, etc. Travel : Normal domestic and international travel (approx. 20-25%). Travel is generally higher during team building and transitioning of work and reduces as the activities are stabilized within the shared services.
