General Manager - Company Secretary  Location: Bangalore  Reports to : CFO  Educational Professional Qualifications  Essential: Associate Member of Institute of Company Secretaries of India (ICSI) and LL.B.  Experience: 8 years of relevant experience (post qualification) in companies and preferably in Listed Companies  POSITION PURPOSE  - To monitor the corporate compliances under the Companies Act and other Corporate Laws; compliances, conducting Board meetings, Board's Committee Meetings & Annual/ Extra-ordinary General Meeting, Annual Report and ensuring statutory compliances by subsidiaries and Branch offices of the Company across the Globe are among the other major functions of the incumbent.  KEY ACCOUNTABILITIES / RESPONSIBILITIES  - Monitoring compliances to be made under the Companies Act and other corporate laws i.e. filing of forms returns etc. with ROC, Ministry of Company Affairs, maintenance of statutory records and registers etc.  - Handling the Secretarial Audit and Compliance Manager Tool  - Monitoring compliances w.r.t. Board Meetings and its committees  - Preparation of Notices, Agenda papers and Minutes of the Board and its Committee Meetings  - Preparation of Notice of AGM, Directors- Report, Report on Corporate Governance for the Annual Report.  - Preparation of Annual Report to shareholders of the Company  - Conducting of the Annual General Meeting/ Extraordinary General Meeting of the shareholders of the Company.  - Coordination with subsidiaries and ensuring statutory compliances of subsidiaries and Branch offices of the Company across the Globe  - IPR - Registration, management, and renewal.  - Dealing with matters related to FEMA  - Secretarial support to Persistent Foundation  KNOWLEDGE AND SKILLS  - Good communication skills.  - Regularly updated information on the latest corporate laws & compliances in the industry.
