Role: General Counsel, Leading PE Fund Manager concentrating in SME investments

City: Chennai/Mumbai

Company: Our client manages structured private equity and debt investments in the SME space in India.

Role Summary: Our client is a leading mid-market private equity fund with a focus on the pan-Indian SME market. They are looking to hire a General Counsel to join their team. You will provide legal advice and support in relation to the investment negotiations, structuring of the investment, legal due diligence and execution of different investment transactions, particularly with respect to private equity and some debt transactions as well. You will also advise on complex agreement structures, approval processes, and company policies and procedures etc, and will provide corporate legal services and advise to investee companies.

Responsibilities :

- To act as the legal expert within the fund, working closely with the front office team;

- Lead on all legal aspects of the fund's transactions - negotiations, structuring and execution;

- Provide legal advice on fund formations, fundraising documents like PPM etc, investment transactions, divestment transactions and general corporate matters;

- Take responsibility for the legal content in investor reporting, regulation and compliance, contract reviews and other legal documentation;

- Work with the business and compliance deal team in all aspects of the investment from sourcing through execution;

- Direct and collaborate with compliance department in developing and implementing internal policies, compliance manuals and operational procedures for private equity funds and principal investment business units;

- Draft, review and negotiate a wide variety of legal documents; supervise and manage work and relationships with outside counsels;

- Provide general corporate legal services and advise to investee companies

Qualifications : You will have:-

- PQE in law of 5+ years of relevant working experience in PE or related areas;

- Excellent academic and legal training profile;

- Significant track-record of transactional legal advice on PE deals;

- Understanding of the PE landscape and a passion for working in-house;

- Can-do, confident, able to work independently with little guidance;

- Excellent analytical, interpersonal and project management skills to manage multiple projects in parallel;

- Ability for teamwork;

- Respect and manage relationships with investee counterparties.
