Company: A leading Financial Services Group with presence across Investment Banking, Institutional Equities, Fixed Income, Investment Advisory and Asset Management

Role: General Counsel - Legal and Compliance

Main Responsibility Areas:

1. Provide strong contracting, legal and regulatory support to the business across all business segments - Investment Banking, Institutional Equities, Fixed Income, Investment Advisory, Asset Management operations and activities of the Company.

2. Provide effective legal support to the businesses in contract structuring, preparation and negotiation with various businesses on the revenue side and contracts with vendors on the cost side.

3. Draft, maintain and update contract templates for all lines of business of the Company. Manage customer contracts and provide support to effectively monitor and enforce the contracts from a legal perspective.

4. Provide general legal advice and support to other functions e.g. human resources, finance, IT, admin, corporate services, real estate management etc.

5. Assist in evaluations and conducting thorough due diligence for all deals and transactions and effectively develop and implement appropriate risk-mitigation strategies in relation to Organization's business operations.

6. Develop, implement, maintain, enforce, assess and update Company's internal policies and manuals on HR, admins, process etc

7. Develop, implement, maintain, enforce, assess and update compliance manual

8. Evaluate the impact of evolving legal and statutory regulations pertaining to the relevant business function and highlight the same in time and contribute to the business planning process.

9. Maintain good standards of corporate governance, including ensuring compliance with applicable laws, consents, regulations, Companies policies and rules.

Qualification and working knowledge requirement:

1. The candidate should have an excellent academic background with a Law Degree from a reputable university/ institution and good knowledge of (i) Indian securities legislations including various SEBI regulations on PMS, FPI, ICDR, FII, Depositories etc FEMA and its regulations, (ii) Companies Act etc, (iii) contract laws and (iv) various administration related legislations like labour, shop and establishment etc.

2. Experience on international securities law for distributing and raising capital from various sources and channel for operations in India

3. He/she should be qualified in India with a minimum of 8-10 years post-qualification experience in the corporate commercial law. Exposure to the Investment Banks including broking operations, Fund management and asset management would be preferred.

4. The candidate must have excellent communication and negotiation skills. Ability to draft and close commercial agreements independently and efficiently; strong organizational and interpersonal skills, people management, including ability to work effectively with the business team and with senior management team; proactive, with excellent research, analytical skills and should be able to exercise judgment and discretion to opine on legal issues effectively; should abreast with all the applicable statutes and laws.
