Department: Secreterial & Legal  Area of Operation: Secreterial & Compliance  Location : Navi Mumbai  To lead Secretarial compliance's of the Financial Services group of companies and possess expert knowledge of all provisions of the Companies Act 2013, SEBI Guidelines, NBFC-MFI Guidelines of RBI, Listing ed company compliances with BSE for Listed Debt security, NBFC compliances.   Key Responsibilities:  1. Strengthening Governance Process and Framework across the group . Build Practices to strengthen corporate governance across the group  2. Ensuring timely compliances under Companies Act 2013 and SEBI guidelines for the group of business policy frameworks etc. Strengthen Process to ensure of group critical compliances like Loans, Investments, RPTs, IFC, RCM, and practical implementation alongwith maintaining all records. Setting right process within the company with teams to ensure all data required for compliances  Innovative suggestions to apply the rules/sections for the group to make business oriented secretarial function.   3. Monitoring all updates on the Companies Act/SEBI guidelines & providing clarity on the same to Seniors and board members   4. Understanding our company business, balance sheet, Equity Capital structuring, ESOP schemes, Various corporate finance raising instruments like Debt, preference capital, Commercial papers, hybrid instruments, Re-structuring projects like bonus, rights, etc in compliance with Company law, SEBI & RBI.   Bring in Digitisation in various process including meetings, Building compliance systems to track compliances   5. To build / maintain effective relationships / networks of contacts with CS fraternity, Industry people, Regulators & consultants, to potentially help in achievement of work-related goals / establishing advantages. Should possess the ease & comfort in approaching key people in the organization whether internal teams or inter departmental. Should be able to build a strong network within team / across departments  Work Relationships/Stake Holder Management:  1. Internal All board members and user departments requiring authority on various company administration matters   2. External All consultants, Regulators like MCA, SEBI, Exchanges, RBI, etc  Performance Indicators:  1. Robust knowledge, Compliance and Implementation of Companies Act 2013 & SEBI Guidelines   2. Updating of All minutes and form filings on a timely basis 2  3 Keeping the independent directors, board members and regulators in confidence
