Legal Risks :

- Reviewing and providing legal advice on tender documents.

- Reviewing ongoing cases and advice management accordingly.

- Providing legal protection and risk management advice to management especially on contract management.

- Providing and interpreting legal information, conduct training and disseminating appropriate legal requirements.

- Updating management of various statutes and recent amendments and judgments

Contract drafting / negotiations :

- Ensuring contract management including contract drafting, executing, documenting and ensuring compliance to the terms.

- Preparing, reviewing and modifying contractual instruments to assist and support various business activities.

- Negotiating, reviewing and drafting documentation for business transactions and preparing and advising on the necessary checklist to be adopted to ensure information is submitted on time.

- Ensuring appropriate contract related documentation and facilitating audit process.

Regulatory Compliance :

- Formulating compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly.

- Continuously monitoring compliance with statutory obligations and advising management accordingly.

- Obtaining necessary registrations under a Sales tax, Service Tax, Excise, Shops and Establishment Act etc as may be necessary as and when the business expands.

Ensuring compliance with all laws in following areas:

- Product Development, product advertisements so as to be in line with applicable Food Safety and Standards Act, Legal Metrology Act and Advertisement Code of Conduct.

- Label Declarations

- Promotional Schemes, contests, etc.

- Ensuring Trademark and Patent registrations, as applicable, and protection of Company's Intellectual Property Rights.

Litigation Management :

- Coordinating with external retained counsel ensuring correct briefing and tracking and reviewing all on-going legal matters and managing external counsel budget and expenditures.

Secretarial

- Maintaining Secretarial documents for the company.

- Responsible for coordinating with Corporate Secretarial Team for Agenda preparation and other resolution related documents for Company Board Meeting

- Ensuring 100% compliance of different requirements under Company Law and ROC

Miscellaneous / General Advisory

- Maintaining and providing details of all legal issues/disputes and the action initiated.

- Advising management on broad array of business activities and business models which may have legal implications.

- Conducting or coordinating research on legal issues.

- Reviewing business, commercial and documents/communications and advising on appropriate strategy/language to minimize risk while maximizing business benefit.

- Performing miscellaneous job-related duties as assigned.

Demonstrate :

Knowledge: Understanding and knowledge of Food Safety Standard Laws, Legal Metrology Act,
