We have a opportunity for Head of Legal based at our Fort, Mumbai (HO) location. Job Description : - Mergers, Acquisitions, Private Equity transactions, Due Diligence - Handling entire cycle of Mergers &amp; Acquisitions transactions. - Effectively leading legal due diligence process to be done through law firms &amp; assuring closure within the assigned timelines - Drafting and review transaction documents &amp; finalization of definitive agreement, non-compete agreement, non-disclosure agreement pertaining to the transaction. - Finalizing legal due diligence report and subsequent drafting of share purchase agreements and shareholder agreements. - Advising and sensitizing the stakeholders on the legal risks involved in the transaction. Legal : - Drafting, vetting and negotiating various deeds and agreements like, trust deed, lease deeds, investment management agreement, investor contribution agreements, Joint venture agreement, trademark license agreement, marketing agreement, manufacturing with CMO, development and services agreement with CDO. - Negotiating various legal agreements, Contracts in coordination with external lawyers as per the business need. - Co-ordination &amp; ensuring timely delivery as per timelines of task given to law firms in respect of services availed from them time to time. - Liaisioning with government authorities, attorneys, external consultants - Ensuring business contracts are in compliance with company legal policy, framework and procedures. - Advising management on the business entity structuring &amp; framework. - Designing &amp; framing legal documents tracking system for storage of original legal agreement/ documents. - Defining filing procedure and setting up filling framework structure. Compliance : - Develop document management system related to compliance with various acts &amp; statutes - Supervision &amp; ensure statutory compliance by all entities in the group. - Submitting monthly legal &amp; compliance MIS to management. - Supervision of all Corporate Secretarial functions Requirements : - Candidate should have 10+ years experience in Legal - M&amp;A (Mergers &amp; Acquisitions), big ticket deals, private equity, JV is preferred. - Good business acumen fostered with legal knowledge &amp; excellent communication skills. - Experience of working with Legal firm is must. - Education should be qualified LLB &amp; CS.
