Operational Transaction Services (OTS) team is part of our expanded, integrated market leading Transaction Advisory Services team in India. This dedicated team advises clients on operational matters on M&A transactions.

The OTS team advises and supports clients to drive operational value from their transactions across the complete deal lifecycle. The team supports both Private Equity and Corporate clients on buy-side and sell side engagements. The team provides pre and post-acquisition support to clients across all sectors.

The focus for OTS team at pre-transaction and post-transaction is in the following areas:

- Integration assessment, planning and execution

- Carve-out and separation assessment, planning and execution

- Synergy assessments

- Operational and IT due diligence

The opportunity

EY is looking for AVP in the OTS Team.

Your key responsibilities

Support / deliver carve-outs, post-merger integration and operational due diligence assignments with focus on

- Integration

- Develop integration vision and strategy

- Recommend design principles, target operating model and assess readiness

- Undertake detailed functional integration planning (e.g. finance, IT, HR, IT, Operation)

- Structured Integration Programme Management

Carve-out and separation

- Evaluate exit readiness and develop separation strategy

- Evaluate financial and operational interdependencies, standalone and one-off costs

- Define separation road map

- Support Day 1, interim and end-state operating model definition

- Provide inputs on transitional services requirements

- Evaluate impact of separation on retained business (e.g. stranded costs)

- Structured Separation Programme Management

Synergy assessment

- Identify areas of potential synergies / dis-synergies and establish the degree of integration required

- Define road map for delivery of synergies and advise on synergy benefits tracking

- Operational due diligence

- Identifying opportunities for EBITDA and cash improvement post transaction

- Support the development and delivery of technical and commercial proposals, attending pitch meetings, presentations /proposals

- Active role in the identification of opportunities by farming existing relationships and growing new networks within and outside the firm

- Support internal practice development effort including development of tools, accelerators, methodologies, thought leadership and market propositions

Skills and attributes for success

- Work experience across deal life cycle from pre-deal due-diligence to post acquisition integration / divestment support

- Ability to provide insights on aspects of M&A transaction that are relevant and valued by clients

- Cross sector experienced preferred

To qualify for the role you must have

- CA/ MBA or any other professional qualification from a premier institute

- 2-6 years of relevant post-qualification experience

Ideally you'll also have

- Strong communication, facilitation, relationship-building, presentation and negotiation skills.

- Be highly flexible, adaptable, and creative.

- Comfortable interacting with senior executives (within the firm and at the client)
