Corporate Laws

a) Compliance with Corporate Laws including the Companies Act 2013, SEBI LODR, SEBI Regulations, SEBI (Prohibition of Insider Trading) Regulations and other allied laws, rules, and regulations.

b) Preparation of compressive agenda papers, reports, policies and minutes of a meeting of Board, Committees and Shareholders.

c) Drafting of various resolutions, reports, process, backup papers and details in relation to a meeting of Board, Committees, Shareholders and internal requirement.

d) Preparation of eforms, letters, certificates etc and filing with ROC, Stock Exchanges and statutory authorities well before the deadline.

e) Preparation and timely update the registers, forms, returns, data and records as per Companies Act 2013 and applicable corporate laws.

f) Ensuring to have relevant details from Departments on time and vice versa.

g) Regular review and reporting of tasks, activities, and compliance. Accurate and timely production of secretarial and compliance related details and documents.

h) Follow-up and interaction with auditors, consultants, intermediaries and other departments as may be necessary in relation to compliance and secretarial functions.

Legal & Agreements

a) Drafting, vetting, and review of; various agreements/documents in line with business policies/requirements, including business contracts, deeds, indemnities, understanding, non-disclosure agreements, service agreements, sales and supply of goods, leave and licenses, tripartite agreements; with due care; maintain MIS and records of agreements

b) Dealing and discussion with advocates, consultants, arbitrators and court officials in relation to litigations, filing various legal documents, statements, affidavits, replies etc. Closely attend, monitor, update and report the proceedings and status of legal cases and maintain the list of cases up-to-date on regular basis. Review of complaints, petitions, replies, statements, affidavit, pleadings and legal documents.

c) To keep watch on court proceedings/matters which have to bear on company's similar matters/issues and to update the management.

d) Assist in drafting, reviewing and vetting contracts for a foreign subsidiary and Liaoning with the teams for timely closure.

Other duties and functions

a) Assist in monitoring compliance with foreign corporate laws for overseas subsidiaries/entities.

b) Other duties and works as may be assigned time to time to meet the requirement.
