Primary Role:

To handle legal, Company Law & Secretarial matters for various group companies, NBFC related compliances applicable to ND NSI NBFC.

Qualification:

CS, LLB

Key Responsibilities:

1. Timely preparation of agenda and minutes of Board meetings, Annual Reports, minutes of AGM/EGM, circular resolutions, CSR meetings, coordinating with shareholders for various disclosures and corporate representations.

2. Preparation of Registers and maintenance of records as per Companies Act, 2013 and other applicable Statues & Custodian for the same.

3. Event based and time based compliances under the Companies Act, 2013, corporate laws, rules and regulations including secretarial standards issued by Institute of Company Secretaries of India, Handling various corporate actions e.g. Increase in authorized capital, issue and allotment of shares, name change, object change etc., filing compliance etc.

4. Interaction with Statutory Auditors, internal auditors for audits/data/disclosures etc. of various companies, their appointment, re-appointment;

5. Understanding business, assisting business in obtaining various licenses, applications and other documentation required for day to day running of the business.

6. Keeping up to date with any regulatory or statutory changes and policies that might affect the organization.

7. All NBFC related compliances applicable to ND NSI NBFC as per the RBI circular and guidelines.

8. Drafting and vetting of transaction documents including Term sheets, Loan Agreement, Pledge agreement, Power of Attorney, Mortgage Deed, Deed of Hypothecation etc. pertaining to lending, undertakings, Deed of Guarantee etc.

9. Arranging for Due diligence and Title Search from advocates for providing of loan.

10. Compliances relating to issuance & conversion of CCDs and Preference Shares

11. Vetting of Margin Funding Master Loan agreement and advising on compliance related to the same.

12. Drafting and vetting of loan documents for borrowing from Banks and NBFCs.
