Elara Capital - Company Secretary & Compliance Officer (5-10 yrs)
Role involves understanding and working knowledge and experience in the following areas:
1. Corporate Secretarial:
a. Companies Act, 2013
b. Formalities related to fresh issues of equity and preference shares and Right Issues for private limited companies
c. Filing of respective Forms (physical, e-forms)
d. Finalization of agenda and holding of Board meetings and drafting of minutes.
e. Notice of and conduct of General meetings and finalization of minutes
f. Drafting Annual Report as per compliance of Companies Act, 2013 and corporate governance requirement.
g. Filing of returns with MCA on yearly / event basis.
2. Compliances relating to FDI, RBI and SEBI guidelines / requirements :
a. Manage SEBI related compliances relating to AIF, investment companies as per Companies Act 2013.
b. Drafting of Company policy in line with the SEBI circulars and Regulations, RBI Guidelines.
c. Managing money laundering compliances under PMLA/ RBI/ SEBI
d.. Finalization and Filing of returns with RBI for FDI
f. Finalization and Filing of returns with RBI for NBFC
3. Legal : Exposure to legal area is desirable and will be an added advantage.
a. 5 -8 yrs of experience in corporate Secretarial and compliance functions in NBFC, SEBI registered institutions.
a. CS (member of ICSI)
b. Law Graduate
c. Relevant NCFM / NISM Certification
d. Diploma in securities Market (Added advantage)
