Major Duties &amp; Responsibilities - Secretarial and compliance related activities of Dr. Agarwal's Group Companies -both domestic and foreign entities. - Stock exchange compliance, Corporate Governance requirement as per SEBI regulations - Conduct Board/ Board Committee meetings, General meetings involving issuing issuance of notices, drafting agenda, recording minutes and preparation of Directors- report, Annual reports, Dividend related activities and Investor relations. - Liaison and coordinating with Statutory authorities (ROC, RBI,MCA) including efiling of periodical returns, up to date maintenance of books, records, registers and its safety. - Any other corporate actions and ongoing secretarial/compliance related work assigned by the management from time to time. - Liaison with Corporate lawyers, Trade mark attorneys, Secretarial and Statutory auditors. - Drafting of legal contracts and commercial agreements and advise on compliance requirements applicable to Health care. - Provide guidance to the Directors on their responsibilities under various laws and corporate guidance norms. - Experience in handling of IPOs and private equity funds are desirable. Required Skills - Minimum 3+ years of work experience in handling all secretarial and legal aspects. - Associate/ Fellow Member of the Institute of Company Secretaries of India, New Delhi (ACS/FCS). - Better understanding of the Companies Act 2013, SEBI {Listing Obligations &amp; Disclosure Requirements} Regulations, 2015 and working knowledge in FEMA regulations and dealing Trademarks. - Bachelors in Law
