Legal Head


- Responsible for ensuring that the entities in India adheres to legal and corporate compliances.

- Establishes and monitors policies, procedures and controls, together with a framework to ensure Indian legal entities remains demonstrably compliant.


A. Litigation / Risk Management

- Pro-active legal support and advice to the business divisions and key stakeholders, and to assist them in achieving their core strategic objectives within acceptable risk parameters.

- Work with business teams and external counsel to manage disputes and litigation claims. Strategize on resolution of disputes and litigations with the objective of minimizing conflicts and settling matters amicably

- Ensure most legal matters are managed inhouse and take external counsel advise as and when required to ensure cost savings

B. Contract Management

- Drafting, reviewing and negotiating a range of commercial agreements, such as master services agreement, contract labour agreements, employment contracts, consultancy contracts, property leases, letter of intent, IT agreements and NDAs.

C. Process & Innovation Responsibility

- Collaborate with the external lawyers wherever applicable to ensure each unit adheres to their compliance framework consisting of but not limited to management information systems, key risk indicators, compliance testing protocols and the reporting requirement of the Boards.

- Ensure group level functional initiatives are coordinated and driven centrally to leverage synergy. Support the units to execute group level functional initiatives.

- Ensure development of feasible policies, procedures and framework for corporate governance, recommend processes that are practical, proportionate and applicable to daily operations.

- Pro-active, practical, qualitative and cost-effective legal support and guidance to different business functions.

- Identify and keep abreast of laws, regulations, industry codes and other rules that may change the compliance obligations for Indian entities, proactively define framework to manage the risk of a breach of those statues.

- Recommend alternatives wherever regulatory bottlenecks develops. Provide functional expertise and recommend inputs on critical governance issues at the units.

- Provide guidance, advice on medico-legal cases and approval on market promotion and development claims and collaterals.

- Advice Corporate on key technical service fee agreements, professional consultancy / services agreements, licensing and assignments as well as in dealing with third parties in matters of conflict and settlement.

- Advice and support negotiation in corporate restructuring, Formation & registration of companies, mergers, acquisitions, strategic alliances, JV, winding-up, name changes etc.

- Collaborate with the leadership and recommend balanced legal advice on a wide range of matters

- Experience of working with best law firms/advocates for handling various legal cases; primarily following;

1. Medico Legal Cases

2. Trade mark cases

3. NCLT cases

4. Land status & and disputes

5. Negotiable Instruments Act Cases .

6. Arbitration Cases

7. Other Civil & Criminal matters

- Pro-active, practical, qualitative and cost-effective legal support and guidance to different business functions.

D. Talent & Organization Responsibility

- Ensure retention of key /identified talent within the function

- Identify professional development requirements for direct reports and ensure they undergo the relevant training

- Report to the Board on periodical basis the status of the various litigations/cases filed for /against the company
