Applicant must be a Legal (graduate or post graduate in law) professional with minimum of 8 to 14 years of relevant post-qualification experience in the IT sector.

Terms of reference:

Roles and responsibilities include:

1. Providing legal support to AsiaPac Global Delivery Center of Excellence (APAC GDCoE) SBU covering India, Philippines, Malaysia and Singapore, including.

(a) Bid support, including review of RFx (RFPs, RFIs, etc.) and other bid-related documentation, review of proposals, preparing legal responses to RFx and bids, and assist and participate in internal engagement risk assessment reviews, etc., including:

(i) Ensuring compliance with XXXs Management Frameworks including the OMF, CMF, and BEMF; and

(ii) Perform functional expert reviews and participate as required during the bid Executive Step Review and Solution Synergy Review processes.

(b) End-to-end contract management, including identification of legal risks and ensuring that: 


(i) all business is contracted on terms consistent with XXXs policy on legal and commercial risk exposure and that all risks are fully identified and mitigation strategies identified; 


(ii) all business contracted for is duly authorized in accordance with internal authorisation processes; and


 (iii) that all internal stakeholders and functional/specialist experts are engaged as appropriate.

(i) Pre-execution: Drafting legally secure contracts, reviewing and redlining pre-drafted contracts and negotiating contracts (both buy and sell side) such as framework agreements, license agreements, general supply agreement, support services agreements, partnership and alliance agreements (including subcontractor agreements, consortium agreements, Strategic alliance agreements, teaming agreements, etc,), non-disclosure agreements, and other contracts of corporate and commercial nature.

(ii) Post-execution: Contract handover, compliances, risk and change management.

(iii) Provision of support to project teams in dispute resolution.

(iv) Review and provide legal approvals for inter-BU collaboration agreements.

(c) Act as the interim Privacy Business Partner for APAC GDC COE (India Business Units) and focal point of contact from a legal perspective on data protection and privacy related matters for India. Responsibilities include supporting the Chief Data Protection Officer on group-wide initiatives relating to compliance with EU data protection requirements including the GDPR.

(d) Statutory compliances, including compilation and ongoing maintenance of the compliance database and periodic reporting to internal stakeholders.

(e) Review and negotiate real-estate related documentation, including lease agreements and common area maintenance agreements.

(f) Templates and process improvements, including creation and updation of contract templates/boilerplates, compliance trackers, contract playbooks for XXX-preferred positions, etc.

(g) Handle and assist on all disputes and litigations.

(h) Provide audit support including assistance on statutory, client and/or internal audits.

(i) Intellectual property due diligence and protection, including review of open source licences.

(j) Provide advisory support to other internal functions (HR, Administration & Facilities, Information Security & Quality, Finance, etc.).

(k) Assist on company secretarial matters including filings with the Registrar of Companies, mergers and acquisitions, etc.

2. Continue and grow the offshore model which entails providing legal support (bid support and contract management) to other geographies including UK, Canada (Greater Toronto Area), Nordics, Australia, and US.

3. Recruitment, training and workflow management (including MIS reporting).

4. Liaise, engage and manage external counsels and any other vendors.

5. Responsible for process improvements and other initiatives.
