Director - Legal - BFS/BPO/Retail - LLB/LLM + CS (10-15 yrs)

- Review contracts and amendments for service providers to comply with standard contract templates and corporate policy. Support in the review, negotiation and drafting of non-standard contracts

- Develop and/or review appropriate contracts related to employees. Assist with employment law compliances, including legal work with respect to employee documents, policies, Shops and Establishments Acts compliances, review of compensation and benefit programs and plans, etc.

- Work internally with counterparts in various location(s), including risk oversight or centralized services, such as Ethics and Compliance, Risk, Audit, Security, Procurement, Finance, and Tax to ensure appropriate delivery of integrated services

- Identify, analyze and track regulatory compliances and amendments, work closely with market intermediaries and institutions to track changes in compliance requirements

- Interacting with outside legal counsels for briefs and opinions; draft summary and provide analysis of new rule proposals to identify the businesses that are potentially impacted

- Build relationships with key regulators like the Department of Telecom and Labour Officers

- Support specific training needs working with enterprise groups and partner with groups to deliver integrated education for key programs

- Be accountable to the business groups on the impacts of the decision taken or course of action.

Corporate Law Compliances :

- Assist the Company Secretary to oversee compliance with corporate requirements .

- Handle activities relating to incorporation, compliances, maintenance of statutory records and regulatory filing, including Private Limited Companies

- Draft and finalize Board of Directors meeting documents- agenda and Board minutes

- Handle activities relating to change in the share capital such as increase in authorized capital, allotment of shares, transfer of shares and special Treasury driven projects including declaration of interim dividend

- Handle activities relating to appointment and resignation of Directors, appointment of Auditors, co-ordinating and obtaining relevant documents and application/renewal of digital signature certificates

- Ensure compliance with applicable secretarial standards

- Coordinate & cooperate with Statutory Auditors, submission of information/documents for the purpose of statutory audit to the extent it relates to Board and corporate governance and secretarial compliances

- Conduct due-diligence audits as applicable, including those in relation to Companies Act and FEMA Law

- Co-ordinate Board of Directors approval on new initiatives and other routine matters including Corporate Social Responsibility related approvals and disposal of Assets

- Cooperate with government authorities and attend to assessments and notices

- Prepare and coordinate filings towards FEMA & RBI Compliances

Required Candidate Skills :

Technical / Behavioral

- Experience at handling corporate restructuring matters, ability to influence key stakeholders and the Board of Directors for approvals on strategic corporate compliance related matters

- Compliance driven individual who will effectively partner with Risk, Tax and other organizations to ensure

- Excellent communication skills and ability to interact with all levels of end users

- Ability to work across diverse and cross functional teams for desired outcomes

- Strong attention to detail and independent judgment

- Ability to work within a team environment and support common goals

- Strong analytical and facilitation skills

- Strong sense of ownership of tasks and responsibilities

- Global experience - experience in interaction with stakeholders across geographies would be a definite advantage.

- 10-12 years of proven work experience in overseeing secretarial, corporate affairs, governance, statutory and administrative affairs / requirements of the Company. The candidate should be well versed with drafting of agreements, contracts and other legal documents. Should have independently handled company law matters and compliance of corporate governance

Professional Qualifications : Bachelor of Laws/Master of Laws degree and Associate Member of Institute of Company Secretaries of India.
