Director - Legal

Responsibilities:

- Advising corporate governance matters of a listed company.

- Organizing and conducting board and annual general meetings and implementing board decisions - Interacting and dealing with directors and investors

- Negotiation, review and drafting of a broad range of commercial agreements, including supply and sales agreements

- Advising on general legal matters as well as critical strategic matters

- Handling litigations and arbitrations

- Driving a culture of compliance, including leadership in training and investigations - Identifying and managing outside counsel for specific matters as appropriate - Keep abreast of legislative trends and advise business of potential impact.

- Managing a small legal team of lawyer and company secretary.

Qualification

- Excellent understanding of Indian company law, SEBI, listing rules and all other statutory and regulatory requirements

- Qualified Lawyer and company secretary (preferable not a must) with good working experience in a listed company

- Attorney admitted to practice in India

- At least 10 plus years of experience with a major law firm and/or international corporation as an attorney.

- Strong intellectual capacity, unquestioned integrity and high personal standards of excellence

- Good communication with broad range of people, ability to exercise judgment and recognize patterns in work behavior, success in winning trust and confidence of business without giving in to matters of principle

- Fluent in English
