Qualification: ACS/ FCS with additional qualification of law or CA Experience: - 15 Years of experience in Corporate Secretarial of which at least 10 years in a listed company Knowledge &amp; skills: - Acts with integrity across interactions - Ability to communicate with and explain financial concepts to non-finance stakeholders - Demonstrated ability to be proactive, self-driven with the capacity to work in a dynamic work environment - Exposure to complex business environments - Excellent analytical, written &amp; verbal communication skills and legal interpretation skills. - Familiarity with changes in statutes and its implications - Solid knowledge of the Corporate law changes and implications and recommend and implement decisions to comply with the same Best Suited for Someone who - Ability to influence key stakeholders. - Ability to manage their time and prioritize effectively - Ability to analyse complex statutory provisions, draw inference and advocate a recommended course of action - Be a self starter and understand Board level dynamics and internal and external stakeholders including statutory authorities and shareholders Secretarial Responsibilities - Responsible for driving compliance with respect to provisions of Companies Act and rules made there-under and other statutes and bye-laws of the company - Responsible for convening and servicing Board/ Committee and Shareholder Meetings - Ensure that business of the company is conducted in accordance with its objects as contained in its memorandum of association, the articles of association and the provisions of the Companies Act, SEBI, and Rules and Regulations there under. - Share the agenda for all the meetings with the board of directors/ Committee/ shareholder meetings with stakeholders - Responsible for all arrangements with respect to calling and holding meetings of the board/ Committee/ shareholders - Oversee allotment of shares and issuance of share certificates including maintenance of statutory registers and review the functioning of the Registrars activities and oversee the investor services including responding to investor queries, share transfers, demat request etc. seek regular feedback including through shareholder satisfaction surveys - Advise in conjunction with the company's solicitors, the chief executive or other executives, with respect to corporate legal matters as and when required - Responsible for engaging with legal ad visors and defending the rights of the company in courts of law - Own custody of the seal of the company - Statutory compliance with respect to corporate laws more so with Companies act and SEBI regulations - Advise companies on various restructuring including mergers, liquidation, demerger, sale, hive offs and also on various other corporate actions like share split, bonus, buy back and so on from time to time Legal Responsibilities - Responsible for Complying with including filling various documents/ returns as required under the provisions of the Companies Act and SEBI Regulations applicable to the Company and its Directors. - Review the policies formulated by the directors - Maintaining high standards of governance and and improve the governance to best in class Governance practices and take the statutory compliance tool leading to robust certification and compliance process across the organisation Other Responsibilities - Other Corporate Secretarial functions with all stakeholders like Board, Shareholders, internal stakeholders, statutory and other quasi judicial authorities - Handling legacy issues, notices, inquiries and inspection and investigations arising from many of the past actions - Compounding and adjudication and settlement of issues with various authorities under Corporate law - assist and advise in disposal of non core assets including non core subsidiaries of the Company - Assist and advise HR on trust issues including employee welfare trusts - Articulate Company's stand to various institutional investors, proxy advisory firms and major shareholders to get the buy ins for passing of the resolutions
