Head - Legal - Logistics Firm (15-20 yrs)

Job Purpose/Objective

- To effectively oversee the various legal aspects of the business. The candidate will be responsible to negotiate, draft contracts and ensure it is in line with the Company policies.

- Maintain a contract repository and comply with the Contract Management systems,

- Oversee the litigations, effective implementation of legal projects and responsible for statutory compliance and due diligence of DPW policies from time to time

Key Responsibilities

- Litigation & Dispute Management

- Developing a Litigation and dispute Resolution strategy for cost effective resolution of disputes and litigations, including out of court settlements.

- IT enablement - Developing and monitoring Database, SOP and MIS for Domestic and International litigation.

- Contract Management Drafting, negotiations etc. Evaluation of RFP, Bid documents, preparation of the risk and deviation matrix to advise the business team about the risk involved in the contract and advise on the mitigation and to prepare an appropriate contract. Effective usage of the standard contract template and adherence to Contracting Policies of the Company.

- Legal Compliance

- Ensuring Legal Compliance in all areas of company business operations on ongoing basis.

- Ensuring compliance of law and contractual obligations with business partners.

- IT enablement & implementation if Online Compliance Tool as feasible regarding compliance by different units.

- Proactive awareness building among internal stakeholders about the compliance requirement and changes of law.

- Preparing guidance notes on areas of law applicable to company business.

- To update on change of laws and regulations from time to time and ensure compliances thereof.

- As an enabler to business be proactive on legal matters and help with legal advice to business on various business matters

- Advise Management on all matters related to Commercial Contracts.

- Preparing Contract Master for ease of all stakeholders/ internal teams, proper maintenance of contract files and adherence to Policies and systems;

- Drafting, vetting and analysis of all Agreements, negotiation, and finalization of the contracts.

- Liaison with the lawyers, external parties and to ensure contract sign off and handover

- Co-ordinate and participate in the dispute resolution

- Monitor and review various commercial/ contractual activities and requirements.

- Co-ordinate with different departments to review ongoing commercial/ contractual activities.

- Timely action on non-performance of commercial/ contractual obligations

- Ensure proper record keeping of contracts

- Handling litigation / arbitration for Commercial matters and deal with external lawyers and consultants

- Attend meetings with internal and external customers & handle discussions independently

- Prepare, maintain, and monitor MIS, SOPs & Company policies

- Advise business on various legal issues.

Skills And Competencies

- Excellent written and oral communication skills with a strong attention to detail.

- Excellent knowledge and understanding of corporate laws, civil laws, arbitration laws and contract laws;

- High degree of professional ethics and integrity

- Sound judgement and ability to analyse situations and information

- Good organization skills and time management

- Interpersonal skills to build strong relationships with all stakeholders

- Ability to work independently and in collaboration with the team / various stakeholders

- Drive compliance to Company's legal policies

- External: All agencies

Ideal Candidate

- Qualified LLB, or Masters in Law

- Experience in Infralogistic industries would be considered as an advantage

- Excellent knowledge and understanding of laws, regulatory framework and procedures pertaining to Leasing laws, EXIM/ domestic rail business, warehousing, contract drafting.

- Excellent communications and negotiations skills; excellent analytical abilities, decision making skills and legal research skills;

- Excellent legal drafting and interpretation skills with high-detail orientation

- High standards of integrity, ethics, and professionalism

- Comfortable working in a fast-paced workplace

- Ability to work in a diverse environment

- Experience in training and having worked on Contract Management systems, making presentations all a plus

- At least 10-15 years of full-time post qualification work experience

Special Requirements, If Any

- Person from logistics sector or from large companies where there are systems and process in place and can help implement and oversee the same

- Worked with a law firm / independent practice and has strong commercial/legal knowledge
