DGM/General Manager - Legal Counsel - Infra (6-10 yrs)

Job Requirements :

- 8 - 10 years (6 - 8 years if candidate is from Law firms)

- LLB from reputed university

- Industry - Thermal/Renewable Energy must; Roads earns a edge

- Experience in land, litigation, compliance and knowledge on regulatory

- Experience in reputed law firms is an advantage

- Pedigree (past companies / relevant industry)

- Experience in interacting with senior counsels and relationships with partners in law firms and senior counsels is expected

- CS qualification not expected

- Individual contributor role

- Ability to operate independently

- Strong inter-personal skills and team player

- Good command over English language

- Strong negotiating skills

- Well versed with MS Word, Excel, Powerpoint, etc

Job Responsibilities :

1. Negotiating and drafting EPC, O&M contracts from a legal perspective

2. Reviewing / negotiating Concession Agreements including PPA (including third party and C&I), TSA, Annuity agreements, etc.

3. Supporting review and / or interpretation of financing documents (and negotiating if required jointly with external counsels)

4. Responding to notices received from various stakeholders

5. Reviewing major procurement contracts, warranty documents, software license agreements, etc

6. Working with law firms / local counsels on land title related documents and lease documents


7. Supporting / leading litigations across relevant courts / regulatory commissions / tribunals as the case may be; responding to notices, etc.

8. Reviewing Vendor DD reports across functions from a legal perspective and supporting legal DD exercise as part of the M&A process

9. Supporting compliance management

10. Reviewing provisions in law and advising various functions on compliances and related matters

11. M&A experience is an advantage; Supporting negotiating of transaction related documents as required by the M&A team

12. Routine review of various documents such as NDAs, notices, etc.

13. Retaining custody of all critical documents from a legal / litigation perspective
