Associate Vice President: Transaction Advisory: We are looking for a sell-side Transaction Advisory expert to join the Transaction Advisory Services division of DPNC Advisors Pvt. Ltd. (the consultancy arm of Dewan P.N. Chopra & Co.). Our practice is growing, giving rise to an increase in headcount. We can offer an unparalleled environment for an ambitious investment banker/ TAS experts to expand their full-cycle deal experience and be at the helm of various transactions. Under a Managing Director and a seasoned Director, you will execute various deals - focusing on Sell-side deals, engage with clients and lead a team of associates and analysts in a hands-on manner. You will independently interact with Senior Management/Promoter Groups of existing and prospective clients which includes industry leaders from diverse sectors. You will front-end the project with the client directly till its closure. Responsibilities : - Manage the complete execution of Sell Side transactions including front-end client-facing responsibilities with the ability to effectively respond to, sensitive issues or complex inquiries. - Continuously engage with the senior management team of various clients to enhance business across service offerings for investment advisory including buy-side /sell side and fund sourcing mandates across sectors in and outside India. - Prepare and deliver high-quality client marketing pitch, presentations in a clear and compelling manner. - Document the narrative and financial viability on a teaser, perform valuation analyse, analyse the data and operational information to build a narrative, lead documentation of an Information Memorandum and manage the equity and enterprise valuation as per global methodology - Answers questions from potential clients regarding the advanced financial modeling associated with Placement Memorandum. - Lead market research and manage data repositories - Responsible for guiding and managing a team of young and bright professionals - Collaborate with other divisions and associates of the Firm to attain relevant support and advise for structuring, tax & regulatory, legal and other transaction/investment deal closure matters. - Conduct more complex advanced financial analysis to reach a value conclusion, evaluate financial structures and support that entity value. Ideal Candidate Profile : - We seek a candidate who has in-depth sell-side transactions/ fund sourcing experience across sectors and executed at least 7 sell-side deals (end-to-end) - Should have work experience in transaction advisory and raising/investing capital for Indian Corporates. - Strong financial research and analytical capabilities required. Strong technical knowledge of this industry and should be very strong with numbers. - Must have made advanced financial models, prepared decks/pitches & reports, performed valuation analysis in Excel or comparable spreadsheet tools. - Team player and ability to work independently as well; - Ability to solve problems involving several options in situations - Good knowledge of all capital markets-public and private. - Should have a strong academic background from recognised institutions. - Excellent Communication and Presentation Skills, with relevant experience in Client/Investor Interactions. Ability to narrate story to the promotors/senior management in an impactful way. Key Service Offerings include : 1. Raising capital including equity and structured Investments through PE and VC funds, Financial Institutions, Family Offices, HNI etc. 2. Advising on buy side/sell side/joint venture mandates for corporate and start-ups across sectors in and outside India. 3. Advising on placement of private capital as financial or strategic investments for Family offices, and HNIs. 4. Assisting and advising the client on commercial negotiations and documentation including LOI's, Term sheets and Definitive Agreements. 5. Providing transaction support services including due diligence, valuation, financial projections, feasibility studies, preparing business plan, preparing pitch books, information memorandum etc. Work in a hybrid environment.
