Position(s) Reports to: Head of Legal- India  Local Manager  Profession: Lawyer  Position: Vice President  Functional Title: Vice- President  Corporate Title: Vice-President, Sr. Legal Counsel  Local Grade (Regional): 3  Position Description  - Vice President- Legal.  - The position involves being the responsible lawyer or point of contract for all transaction banking (trade, cash and custody) related legal issues.  Position Specific Responsibilities and Accountabilities:  As mentioned above the lawyer concerned shall be a dedicated resource supporting the - Transaction Banking- function of the bank. The role will involve task around the following larger pillars.  Trade finance :  - Buyer's credit facilities, supply chain financing, factoring arrangements and bill discounting arrangements;  - Receivable purchase agreements  - Escrow Arrangements  - Working capital advisory and documentation  - Cash management.  - Liquidity solution structures, escrow arrangement, partner bank arrangement documentation, account services, cash management documentation.  Custody :  - Custody arrangements.  - Securities lending  People Management :  - The role requires good coordination between other infrastructure functions such as Credit Risk Management, Compliance and legal teams in other DB jurisdictions.  - Partnering with the product and WCA team for developing product ideas, assessing legal risk and actively supporting the business strategy and plans.  - Takes ownership of own career management, seeking opportunities for continuous development of personal capability and improved performance contribution  Experience/ Exposure :  - Knowledge of Transaction Banking Products (Trade, Cash, and Custody) is essential.  - Experience in drafting MRPA- s, Risk Participation Agreements, Custody documents, Facility Offer Documents etc is a must.  - Sound knowledge of Factoring Act, Contract Act, applicable SEBI and RBI regulations. Education/ Qualifications :  - LLB.  - Any additional legal qualification is welcome  - 8 to 9 years PQE
