Deputy Manager - Legal & Secretarial - Mfg

- Review, vetting, due diligence and confirmation of Memorandum of Understanding, Long Term Agreements, Supplier Agreements, Business Agreements pertaining to domestic and international contracts

- Drafting of various commercial agreements and contracts for and on behalf of the company, such as agency agreements, joint venture agreements, Non disclosure agreements, marketing associates agreements, distributorship agreements etc.

- Preparation of Risk/Liability Matrix, Legal risk profiling, mitigation of risks and assessment of various international contracts especially in Aerospace Sourcing Contracts

- Involving and assisting the company in legal negotiations pertaining to technology transfer, IPR, commercial contracts, licensing, joint ventures, acquisitions and drafting of relevant contracts and agreements.

- Assisting the company in dispute resolution/legal response to claims/product liabilities/damages etc.

- Scrutiny and confirmation of tender documents/bids/contracts/orders received from various customers for legal correctness

- Compliances under the Companies Act, 2013 and good exposure to secretarial aspects, such as holding of Board Meetings, General Meetings, Committee Meetings and other corporate governance aspects

- Compliances under various corporate acts and rules

- Drafting of written opinions on the applicability, rules, regulations, procedures under various general and legal statutes from time to time

- Sending legal notices to customers/vendors etc for recovery of dues/specific performance of contract etc
