Deputy Manager - Legal - LLB/LLM - International Bank

Organization Details : A leading International Corporate focused Bank with strong relationships across top national and multinational corporates operating out of India. The Bank offers an extensive scope of commercial and investment banking products and services to businesses, governments and individuals. The Bank has a presence in India for more than six decades.

Purpose of the Role :

Responsible for providing legal advice to various Bank stakeholders to ensure that the Bank can operate in accordance with various legal parameters. Responsible for supporting the implementation of regional legal frameworks and processes as well as providing legal advice on various documentation to support the stakeholders in decision making and mitigate legal risk. Also support the Department Head of Legal in Litigation management.

Main Responsibilities :

1. Develop and maintain strong management with key stakeholders both within Bank and externally.

2. Work in collaboration with external legal firms to seek legal advice.

3. Work in collaboration with various departments to provide practical and timely legal advice.

Other/Control :

Job profile includes below responsibilities which are not limited to :

1. Review legal documentation and prepare legal advice to support deals including but not limited to credit, financing,security and collateral, operations, general administration etc.

2. Review legal documentation and prepare legal advice to support deals including but not limited to terms & conditions,Credit Facility Agreements/ Contracts, BGs, LCs, letter of indemnity, confidentiality agreements, Power of Attorney and Outsourcing agreements, Lease/ Leave and License Agreements.

3. Provide input into litigation matters involving the India Branches and provide legal support and advice for resolution.

4. Support the interpretation and application of changes in law and regulations to ensure legal compliance in the Branches

5. Contribute and support the implementation of regional/ local legal frameworks and templates

6. Support in developing and updating policies to ensure alignment with all relevant regulations.

7. Develop recommendations for continuous improvement and support implementation.

8. Support in managing the risk profile for the department.

9. Maintain good working knowledge of industry trends, products, relevant laws and regulations.

10. Adhere to all Banks policies as well as guidelines.

11. Collection/ compilation of data base, review and reporting on all legal affairs.

12. Handling and reporting of litigation matters.

13. Negotiation, communication, liaison and management of external legal counsels.

14. Handle Administrative and judicial procedures.

Expertise / knowledge required :

1. Good communication skills with ability to influence others

2. Deep understanding of local Banking and Finance Law

3. Strong analytical skills to interpret data and prepare sound legal advice

4. Strong experience in reviewing documentation viz: Agreements, Contracts, Indemnities, POA etc.

Requirements :

1. Graduate/ Masters in Law

2. Desirable to have at 6- 9 years of relevant experience

3. Preferred experience in Banking and Finance industry
