Deputy Manager - Company Secretarial Function - Mining Industry (6-15 yrs)

Job Description :

- Driving Compliance under Company Secretarial function to comply with Companies Act, 2013 and Secretarial Standards

- Preparing Agenda and other related documents for Meetings (Board/Committee/General Meeting/postal ballots);

- Driving Compliance under SEBI (LODR) and various other Regulations under SEBI/MCA/SEC;

- Handling various notices received from regulatory bodies- SEBI/ MCA/RBI etc;

- Preparation of Annual Report and conducting the AGM;

- Compliance with COC, Insider Trading, ESOPs, Gift Policy;

- Liaising and networking with various stakeholders including senior management and Leaders for discharging Corporate Secretarial matters;

- Process enhancements and implantation including technology initiatives to ensure robust Corporate Governance;

- Ensuring and monitoring quality and change control over Board & Company Law related processes including regulatory reporting and compliance;

- Foreign Subsidiaries;

- Investor complaints/grievances;

- Keeping up-to date will changes under various statutes

Qualifications :

- Member of Institute of Company Secretaries of India having a minimum of 6 years of handling Company Secretarial matters;

- Good communication skills (Written and verbal);

- Ability to work sensitively and effectively in diverse multi/cross-cultural environment;

- Positive attitude / mind-set will to win and a team player.


- Ability to manage multiple priorities with excellent attention to detail;

- Able to challenge status quo & effectively communicate to leadership, auditors and regulators;

- Ability to work in and handle complex ambiguous situations
