Deputy Head - Legal - Real Estate/Retail

- Assist Legal Head in corporate M&A, private equity transactions; Identify & mitigate contractual risks

- Structure, draft & negotiate SPA, SHA, IA, DOA, JVs & joint development transactions

- Prepare merger schemes, obtain necessary statutory & court approvals

- Legal support for all Corporate Finance transactions (loan documentation, security creation, refinancing etc.)

- Oversee title due diligence in land acquisition, transaction structuring & documentation

- Legal strategy, corporate action, FDI, arbitration, litigation management,

- Work with top counsels, provide options to management on various deal structures, draft, negotiate & finalize transaction documents

- Draft & vet: Lease, Conveyance & Mortgage Deeds, Development, Sale, Leave & License Agreements etc. Legal contracts, tenders; negotiate commercial contracts

- Prepare templates for service provider, marketing & vendor agreements, AMCs etc.

- Control process in the closure of agreements with vendors/service providers etc. with complete quality control

- Manage Group's Intellectual Property & ensure timely renewals, oppositions etc.

- Utilize expert knowledge of Indian Contract Act, Arbitration Act, Transfer of Property Act, RERA & other applicable real estate laws; be abreast with latest developments in legal field

- High degree of legal aptitude, top notch drafting & negotiating skills with flair for innovative solutions
