Key Responsibilities : - Responsible for multi-jurisdictional subsidiary entities, with primary focus on entities in India, with the role overall encompassing: - Assistance with simplification of complex group structure - Involvement in corporate restructurings and tax initiatives - Ensuring the company's compliance with company law regulations and legal standards - Monitoring changes in legislation and taking appropriate action and providing advice to the board of directors, accounting team, tax team, treasury team and legal team - Excellent knowledge of governance best practice, relevant issues, statutory requirements and regulations - Managing complete process for board and shareholder meetings, including scheduling, preparing resolutions/minutes and completing related local filings in a timely manner; ensuring frequent and reliable communications with all directors on relevant business matters - Ensuring company secretarial database - Blueprint&nbsp; is up-to-date for the entities managed - Assist in the set-up of new entities in the region, as required - Requires liaison with APJ, EMEA and US Corporate legal team colleagues, auditors, external legal advisers, and India and global Accounting, Finance, HR, Tax and Treasury departments Essential Requirements : - ICSA qualified with at least 8-10 years of experience in a similar role post qualifying - Experience with multi-national companies an advantage Desirable Requirements : - Excellent written and verbal communication skills - Able to work in Dell's fast-paced environment under pressure in a busy role - Methodical with attention to detail and accuracy - Proficient in Word, PowerPoint, Excel and Outlook (e-mail), good knowledge of Blueprint OneWorld (or similar) - Confident, professional manner and appearance - Team player - this role is to join a team of company secretaries - Project management skills (Microsoft Project experience, or similar) an advantage Benefits : We offer highly competitive salaries, bonus programs, world-class benefits, and unparalleled growth and development opportunities - all to create a compelling and rewarding work environment.
