Assistant Manager - Legal & Company Secretary
Job Description :
- Delhi Duty Free Services is looking for a 'Assistant Manager - Legal & Company Secretary' who wants to be a part of a successful luxury travel retail business.
- Candidate will be required to ensure that all the compliances pertaining to Companies Act, RBI, SEBI, Customs and other such laws as applicable from time to time are being followed.
- CTC for the position will be up to 9 Lakhs per Annum (including Performance Bonus)
Key Responsibilities :
A. Compliances - Companies Act 2013 and other Acts
- To regularly update Statutory registers
- To fill and upload e-forms with MCA portal from time to time
- To fill financial statements in XBRL
- To keep an eye on key changes in Companies Act from time to time and prepare note for management understanding
- To monitor related party transactions for timely reporting
- To prepare the board and board committees agenda after seeking inputs from all the - departments and adhering to the requirements of the Companies Act
- To prepare the draft minutes of the meetings
- To fill and file FCTRS and FCGPR with RBI
- To fill and file FLA with RBI
- To comply with listing requirements of SEBI
- To keep updated on key changes in Customs Laws
B. Representation of company before external agencies
- To draft replies to the notices received from external agencies
- To draft representations to be filed with external agencies
- To draft replies to the queries/notices received from the customers
C. Coordination with stakeholders representative
- Coordinate with stakeholders representatives and meet their requirements
D. Audits
- Support HOD in audits, external as well as internal by compiling all the required documents and handling the audit queries
E. Court Matters
- Attend the court matters on regular hearings and update the Head Legal on the status by preparing a brief note of the proceedings
F. Drafting and vetting of agreements
- Prepare/Review the first cut of the agreements with vendors, banks, suppliers and to ensure all possible clauses in the agreements to protect the interests of the Company
- To discuss the agreement with relevant user to understand that their needs and requirements are duly incorporated in the agreement
- To understand the bid documents and prepare brief for the same
G. Licenses and Registration
- To keep a tab on the existing registrations and licenses of the Company and ensure timely renewal.
