Corporate Manager - Secretarial function - Manufacturing (15-21 yrs)

The Candidate is responsible for looking after the overall activities related to Secretarial department including RTA (Registrar and transfer agents) work. He/ She would be responsible to:

1. Prepare various draft agenda notes for the Board / Committees of Directors, Directors Report considering various Company law aspects / SEBI Regulations.

3. Prepare and issue Notice of Board Meeting, Committee Meetings, Annual General Meeting, Postal Ballot meetings as per the Companies Act / SEBI Regulations.

4. Draft various resolutions in accordance with the provisions of the Companies Act, and rules thereunder.

5. Draft Minutes of Board, Committee, Annual General Meetings, Postal Ballot etc.,

6. File various statutory forms & returns with Ministry of Corporate Affairs, Stock Exchanges, etc.,

7. Maintain and record Statutory Registers as required under the Companies Act & Rules thereunder, SEBI Regulations

8. Collect disclosures, consents etc. required under the Company Law from Directors and submit before Board,

9. Coordinate with other functions including Finance for smooth operations of the department.

10. To handle all compliances related to RTA work

11. To handle Transmission matters and Issue of duplicate shares etc.,

12. Handling legal cases pertaining to the department

13. Payment of dividend

14. Handling Investor related activities

15. Compliance with SEBI regulations and Companies Act provisions which are applicable to a listed entity including SEBI Insider Trading regulations, SEBI [SAST} Regulations etc.,

16. Other day to day secretarial work of the company.

KNOWLEDGE, SKILLS & ABILITIES:

1. Excellent Knowledge on Companies Act, 2013 and the Rules, SEBI Regulations and other Securities laws.

2. Excellent interpersonal communication at all levels (verbal and written).

2. Problem solving and analytical skills.

3. Ability to multi-task and meet deadlines.

4. Ability to cope with high levels of responsibility and with confidential matters.

5. Ability to work well within the team.

6. A high level of professionalism which is required on the job at all times.

7. Computer Literacy.
