Corporate Manager - Legal - Bank (6-10 yrs)

Experience : 06 - 10 years of experience as a Legal Professional, out of which at least 4 years should be in Banks/NBFCs.

Job Summary :


- Drafting/vetting/review of all kinds of credit documentation for MSE and Housing, including security documents and all transaction documents for various kinds of fund based and non-fund based as well as secured and unsecured facilities.

- Managing legal issues pertaining to creation/registration of Mortgages, Hypothecation, Pledge etc.

- Assisting in invoking provisions under SARFAESI Act and monitoring the cases across Regions.

- Conducting Legal Audit of all eligible loan accounts as per Board approved Policy/RBI guidelines and helping in rectifying the discrepancies observed in the Audit.

- Supporting Vigilance department in resolving criminal cases filed by ( /against) the Bank.

- Drafting Lease Deeds after clearance of Title Reports from counsel and upon settlement of terms relating to the clauses of the Lease Deed with the Land Lords for new branch acquisition.

- Drafting renewal Lease Deeds, Lease Terminal/ Extension letters, etc.,

- Handling litigations relating to recovery of Security Deposits and also litigations relating to premises possessed by branches.

Responsibilities :

Business :

- Ensuring Legal Audit of all eligible accounts as per Board approved Policy/RBI guidelines and follow up for Complete Rectification Certificate from the concerned verticals as regards the observations in the Legal Audit Reports, including apprising the Audit Committee of Board the status of Legal Audit.

- Supporting Vigilance department in resolving criminal cases filed by/ (against?) the Bank.

- Supporting Admin & Infra Team in drafting Lease agreements, service agreements, vendor agreements, courier agreements etc.,

- Advising Admin & Infra Team on registration/cancellation related issues with the Sub-Registrar's office.

- Furnishing legal support by way of sharing letters to landlords, addendum agreements and other advisory during different phases of rent reduction activity

Customer :

- Supporting the secured Lending departments and Operations department in regard to CERSAI and IBC issues.

- Assisting the Regional teams in lodging FIR/complaints before various authorities and giving legal support in fraud related matters and instances of staff assault.

- Interacting with the Regional Legal Teams to understand the legal constraints, if any, faced by them and suggesting measures for resolution of such issues.

- Managing legal issues pertaining to creation/registration of Mortgages, Hypothecation, Pledge etc.

Internal process :

- Invoking the provisions under SARFAESI Act, including taking possession (symbolic/physical) and sale of the secured assets.

- Vetting of Title Scrutiny Reports (TSR) submitted by panel Advocates to confirm that the TSR satisfies the business requirements of the Bank.

- Taking approval from, reporting to and apprising various In-House Committees in regard to the matters touching upon the subjects.

- Interacting with Risk and Credit Dept. for rectifying the deficiencies as observed in their Audit.

- Co-ordinating with Admin & Infra Team for execution of Lease Agreements, Service Agreements and Vendor Agreements

Learning & Performance :

- Conducting training on relevant laws/acts to target stakeholders on a periodic basis.

- Keeping track of the latest laws affecting MSE and Housing business and to proactively advise

the business teams about such amendments and its implication on business and to suggest changes in process/procedure.

- Ensuring goal-setting, midyear review and annual appraisal process for self and team members within the specified timelines.

- Conducting training among stakeholders with respect to documentation of all Housing/MSE products.
