- On the search for Corporate M&A lawyers interested in moving in the house. Our client, a well-established and fast-growing renewable energy company is looking to hire M&A lawyers with 2 - 5 years of PQE in their Mumbai office. The Company operates through two segments: Solar Energy and Wind Energy and its portfolio consist of solar and wind power plants located in Brazil, China, India, Malaysia, South Africa, Thailand, and Uruguay.

- The ideal candidate would be required to assist on various transactions including assisting the investment team on the M&A and debt deals and will also be required to support the operating business on legal aspects including by drafting, reviewing, negotiating, finalizing, and executing various business agreements as well as tracking of litigation and coordinating with external counsels.

Responsibilities :

This would include:

(a) Assisting in reviewing investment documents, diligence reports, conditions precedents and closing related actions, drafting/reviewing term sheets, NDAs, internal memos, and related documents.

(b) Assisting in the drafting, reviewing, and negotiating various documents relating to the operations of the assets like the service agreements with consultants/service providers, financing agreements, power purchase agreements, operation and maintenance agreements.

(c) Issuance and transfer of various instruments to onshore and offshore entities including equity shares, compulsorily convertible instruments, optionally convertible instruments, and non-convertible debentures and coordinating with the secretarial team and other external agencies like the bankers, AD Banks, and any external advisors.

(d) Coordinating with external counsels and internal teams on the key issues flagged in due diligence on prospective assets acquisitions and investments.

(e) Preparing internal notes and memos for various purposes.

(f) Assisting and coordinating on the closing of such transactions including drafting of necessary documents for closing the transaction and also coordinating with relevant law firms, internal departments, and also the counterparty.
