About the Role

The Corporate General Counsel (GC) serves as the chief legal officer of the organization, overseeing all legal matters to ensure compliance with laws and regulations, managing risks, and supporting the company's strategic goals. The GC provides legal advice to the executive team and board of directors, manages the legal department, and represents the organization in legal matters.

Key Responsibilities:

Legal Strategy and Compliance:

- Develop and implement the organization's legal strategy to align with business objectives.

- Ensure compliance with all applicable laws, regulations, and industry standards.

- Monitor changes in legislation and advise management on their potential impact.

Contract management:

- Review, draft, and negotiate key contracts, agreements, and business transactions.

- Oversee mergers, acquisitions, and joint ventures from a legal perspective.

- Ensure proper legal documentation for all business dealings.

Risk Management:

- Identify and mitigate legal risks associated with the company's operations, transactions, and policies.

- Develop and maintain risk management frameworks and processes.

- Provide oversight on dispute resolution and litigation matters.

Corporate Governance:

- Advise the board of directors on governance matters, fiduciary duties, and best practices.

- Ensure adherence to corporate governance standards and assist in preparing board and shareholder meeting materials.

- Oversee compliance with securities regulations (if applicable).

Team Management:

- Lead, mentor, and manage the legal department, including in-house counsel and external legal advisors.

- Establish and oversee budgets for legal operations and external legal services.

- Foster a culture of ethical behavior and legal compliance throughout the organization.

Intellectual Property (IP) and Data Privacy:

- Oversee the management of the company's IP portfolio, including trademarks, patents, and copyrights.

- Ensure policy around data privacy laws and cybersecurity regulations.

- Litigation Management:

- Manage and resolve disputes, lawsuits, and regulatory investigations.

- Develop strategies for litigation avoidance and resolution.

Strategic Advisory:

- Act as a trusted advisor to the CEO on legal matters

- Provide insights and recommendations to enable strategic decision-making.

- Represent the company in high-level meetings and legal negotiations.

Education & Experience

- LLM

- Extensive knowledge of corporate, regulatory frameworks pertaining to India, US and Europe

- Experience with mergers, acquisitions, and other transactional work
