We are hiring a Consultant for legal team at Stryker Gurgaon which will be on direct consultancy contract with Company. The candidate should be a Qualified Company Secretary with 4 years of work experience. LLB preferred. The incumbent, under supervision, works closely with business and functional units within Stryker India and the Stryker Global Technology Center (SGTC) on a broad range of matters including driving compliance under Company Secretarial function, contract review &amp; management, other legal issues consistent with applicable Indian &amp; International laws, regulations and Stryker policies. Serves as a member of the India Legal &amp; Compliance team and is viewed as a functional subject matter expert that may provide support directly or indirectly to multiple business units within the area of responsibility and to other compliance professionals across the corporation. Makes decisions of moderate to high impact and exercises independent judgment in consult with the Manager. Essential Duties &amp; Responsibilities: - Managing all secretarial matters relating to the company under corporate laws for India and ensuring timely statutory filings and reportings which shall include : - Preparation of Circular Resolutions, Notice Agenda, Information Packs, Annual Reports, compounding applications and Minutes of Board Meetings, and other committee meetings - Conducting the Board meetings, Shareholders meeting and preparation of Minutes of the meeting/issuing extracts thereof - Maintenance of statutory registers and records of the Company - Carry out all the filings with various authorities in a timely manner. Coordinate and follow up with lawyers, internal customers, CEOs and accounts team - Advising and on the Merger, internal restructuring, transfer of shares, FDI related compliances, related party transactions Handling non-compliance, compounding etc. - Drafting, editing and negotiating basic contracts such as Addendum- s, renewals, non-complicated, POAs, NDAs, and work on contract management process including maintaining standard contract templates, maintaining repository, follow up for renewals, maintaining and periodically updating standard templates and posting them on Intranet, conduct basic trainings for SOW drafting, assist Regional Counsel on contract related issues. - Advise business teams around applicability and requirements of various corporate and other local law including employment laws, practices and policies. - Track compliance of various Legislation &amp; Guidelines issued by the Corporate including RBI compliance, DOAs, all Push down plan laws. Developing mechanism of detecting, reporting non-compliance to the Board - Designing monthly legal updates for business and sharing relevant changes and/or amendments in the existing law or any new law that may affect the business of the Company These include, but are not limited to Stryker Corporate Policies and Procedures, industry trends and guidance on country, state/provincial or local laws. - Provide support related to the development of in-house training and education on various legal matters. - Working with outside legal counsel for drafting recovery legal notices, response to Legal notices, recovery Suits under summary proceedings and notices under Negotiable Instruments Act - IPR management including review of FFL, Patent, trademark &amp; Copyright applications and liaison with outside counsel in this regard. Working with IPR committee to run the IP program at SGTC R&amp;D. - Following internal processes and policies including legal policies and procedures like Standard Operating Procedures (SOPs) and assist in managing and implementing such policies and procedures, as required. - Assisting in managing systems in place for legal and compliance functions like Corporate Compliance Database, contract management tools, managing invoices of vendors etc. - Responsible for on-going monitoring and auditing of compliance systems and processes and reporting to compliance leadership with regard to effectiveness. Education &amp; Special Trainings: - Qualified Company Secretary. Law degree will be an added advantage Qualifications &amp; Experience: - Minimum 4 years - Possesses and practically applies broad and advanced knowledge skills/abilities and understanding of disciplines within business application. - High volume or complex work is completed in a timely and thorough manner with minimal rework. - Works under minimal supervision and instruction of management and demonstrates developing managerial/influence skills. - Basic understanding of budgets and expense management. - May make decisions of moderate financial impact. - High proficiency in computer systems and programs such as the Microsoft Office suite and ability to learn Stryker-specific systems.
