Job Summary: We are looking for a highly professional company secretary for our client. This is a large Indian conglomerate which was initially a textile business which opened its first mill in Delhi. As a company secretary, you will guide company directors about the day-to-day management of their organisations, including compliance with legal and statutory requirements. Responsibilities: - Convening and servicing annual general meetings (AGM)/meetings - Providing support to committees and working parties such as the Board of Directors etc - Ensuring policies are kept current, are approved, and that company members are aware of their implications - Providing legal/financial advice during and outside of meetings. - Will be responsible to represent the company and other connected persons before various Boards and Forums including but, not limited to Company Law Board, SEBI, Registrar of Companies, Tax Tribunals, Consumer Forums and other Quasi-Judicial Bodies and Tribunals. - Will also assist, participate, partner with internal and external stakeholders - Responsible for Compliance with Rules and Regulations in the Securities Market. - Act as a vital link between the company and its Board of Directors, shareholders, government and regulatory authorities. - Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder. - Secretary is responsible for ensuring the smooth operation of the Trust's decision making and reporting machinery, and for the formal administration of its affairs. - The Secretary will ensure that the Trust's business is conducted with probity, accountability, and in accordance with national standards and regulations. Qualification: - A proven experience of 5+ yrs as a company secretary or relevant field - Qualified and member of the Institute of Company Secretaries of India (ACS). - Post Graduate degree in Legal will be an advantage. - Good verbal and written communication skills - Interpersonal skills and the ability to work well with people at all levels - Functional Area: company secretary, legal, audit, Companies Act,PF act, Labour Laws, tax, shareholders
