Our Client is Hiring Company Secretary Cum Legal Manager in Pune Location
Job Title: CS & Sr Manager - Compliances & Legal
Department: Legal & Secretarial
Location: Pune
Reports to: Chief Financial Officer
Experience and Qualifications
- ACS (Associate / Fellow member of the Institute of Company Secretaries of India, New Delhi)
- LLB
- Experience: 08 to 10 years of relevant experience
Job Purpose
- Company Secretarial
- Legal
- Compliance
- Assisting Management in specific projects like an acquisition
- Protection of intellectual property rights
- Insurance policies for all company assets
Main Accountabilities
i. Company Secretarial:
- Drafting & circulating agenda for Board Meetings
- Conducting Board Meetings and maintaining minutes
- Filing various forms and return under the Companies Act, 1956
- Maintaining statutory records under the Companies Act, 1956
ii. Legal:
- Drafting & vetting various contracts & agreements
- Maintaining and renewal of various contracts & agreements
- Provide ready to use templates for legal documentation purposes
- Reply to legal notices
- Issuing legal notices on behalf of the Company
- Appointment of and briefing advocates and counsels
- Handle litigation and appear before the courts & tribunals
- Obtain legal advice and opinions
- Legal support to various functional departments
iii. Compliance:
- Set up, review and monitor guidelines for compliance with the statutory provisions and provisions of Code of Conduct for Sales & Marketing Activities
- Provide standard drafts and documents for ensuring compliance
- Provide training and guidance on Code of Conduct & Compliance for Sales & Marketing Activities
- Review of documentation
iv. Assisting Management in specific projects like acquisition:
- Co-coordinating with and briefing consultants, advocates
- Review and maintaining agreements and documentation
- Ensuring compliance with statutory & contractual provisions applicable to the project
- Execution of contract & agreements
v. Protection of intellectual property rights
- Registration and renewal of trademarks
- Opposition to the infringing trademarks and defending Company trade marks
- Coordinating with global trade mark department
vi. Insurance policies for all company assets
- Coordinate with global insurance department for renewal of insurance policies for company assets
- Co-ordinate with brokers and insurance companies for insurance and claim settlement
