Desired Profile: Qualified Company Secretary with min 2 yrs post qualification experience in a listed company Key Responsibilities : As a CS your key responsibilities would include preparing papers for the Board Meetings, drafting resolutions, filing various returns and forms, and compliance with all legal requirements. 1. Secretarial activities viz. preparing of Agenda and Minutes of Board Meetings and of various Committees. 2. Maintenance of Statutory Registers, Experience in Regulatory Affairs and secretarial work including Incorporation of Company and MCA filings, etc. 3. Documentation and Proceedings for ROC, Regional Director, and CLB matters. Filing various returns and forms under the Companies Act, 1956, with the Registrar of Companies. 4. Drafting of various agreements, MOUs contracts, affidavits, declaration & Undertaking. Preparing Notices and Minutes of Statutory, Board and General Meetings. And managing all arrangements for Board meetings and General Meetings Issue. 5. Preparation of Resolutions for the various activities of the Companies. Completing formalities with regard to the various alterations made to the Memorandum and Articles of Association of the companies relating to alteration of Share Capital, Objects, Name, Shifting of Registered Office, etc, other papers relating to managerial remuneration, passing resolutions. 6. Maintaining overall compliance of the Company Law and other Corporate Laws wherever applicable
