Company Secretary - Media/Internet Firm (12-18 yrs)

We have an urgent Mandate to hire a Company Secretary for our client in Navi Mumbai. Our client is a large Media / Internet Organization

RESPONSIBILITIES:

- Report to the Company Secretary - at HO and regularly liaise with group companies board members

- Organize and prepare agendas and papers for board meetings, committees and annual general meetings (AGMs)

- Take minutes, draft resolutions, and lodge required forms and annual returns with Companies House

- Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval

- Maintain statutory books, including registers of members, directors and KMPs

- Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders

- Contribute to meeting discussions as and when required, and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies

- Monitor changes in relevant legislation and the regulatory environment and take appropriate action

- Liaise with external regulators and advisers, such as lawyers and auditors

- Compliance with stock exchange and SEBI regularizations

REQUIREMENTS:

- 12-18 years of experience

- ACS/FCS

- Additional qualification on Legal / Finance would be an added advantage. Working as a Company Secretary in a listed company would also be an advantage.

- Having experience in a large environment with Multiple stakeholders

- Have great communication skills

- Be from Central Mumbai, Thane or Navi Mumbai
