Key Responsibilities - Ensure compliance with Companies Act, SEBI regulations, and other corporate laws - Organize and manage board meetings, AGMs, and maintain statutory registers and records - File forms and returns with ROC, SEBI, and other regulatory authorities within timelines - Advise management on corporate governance, director duties, and regulatory changes - Handle secretarial audits, due diligence, and coordinate with statutory auditors - Manage Shareholder communications and grievances - Draft board resolutions, agreements, contracts, and legal document - Implement policies on related party transactions, insider trading, and code of conduct - Liaise with legal counsel, banks, and government departments on regulatory matters Required Qualifications - Education: Company Secretary (CS) qualification from ICSI mandatory, LLB preferred - Experience: 4-5 years of experience - Technical Skills: Companies Act 2013, SEBI regulations, FEMA, labour laws, corporate governance frameworks, secretarial standards. Strong drafting and documentation skills, attention to detail, ability to handle confidential matters with discretion Preferred Experience - Experience with OEM supplier/automotive manufacturing companies is preferred - Exposure to fundraising, mergers & acquisitions, or corporate restructuring - Knowledge of listed compliance requirements and capital market regulations - Experience with government approvals, industrial licenses, and incentive schemes
