- Implementation of Companies Act, 2013, training and development of staffs under new Act, preparation of compliance checklist as per new Act for group companies.
- Overall responsibilities for Compliances of Secretarial Department like Maintenance of Various statutory Records and Registers under Companies Act, 1956/2013, SEBI Regulations, Listing Agreement with Stock Exchanges.
- Liasioning with SEBI, CLB, Stock Exchange, ROC, Cost Audit Branch, OL office etc for various statutory approvals.
- GDR offering Circular, ESOP Policy & Compliances, Minute Books, Annual Reports, Corporate Governance Report, Directors- report, Notices, Annual Returns, Memorandum and Articles of Association and other statutory returns to be filed with ROC.
- Handling of Annual General Meeting/Board & Committee Meetings in compliance with the Secretarial Standards as Issued by ICSI.
- Share Transfer & Transmission work of Shareholders- grievances, Dividend to Shareholders/NRI/ Foreign Collaborators.
- Handle various Preferential Issues/ Private Equity along with compliances of Legal/ Secretarial formalities.
- Handle GDRs Issue
- Compounding of offences under FEMA Regulations & Companies Act.
- Dealing with RBI and FIPB in reference to FEMA regulations for approvals under Foreign investments, foreign collaboration, remittances, export receivables, Investment Outside India (ODI) , Disinvestment, Issues related to NBFC Companies.etc.
- Corporate restructuring of Group Companies.
- Legal Due diligence for various Private Equity Investments and Acquisitions.
