Urgent hiring for a reputed Manufacturing Group.

Position - Company Secretary - Top Level

Experience - 20 to 25 years

Job Location - Delhi/NCR

Qualification - CS with LLB

- The position is re-portable to the Chairman

- Candidates with the manufacturing background will be preferred.

- Experience in handling the subsidiary Units

Job Responsibilities:

1. Scheduling, setting the agenda for and undertaking communication for Board Meetings and Shareholders Meetings; Recording and circulating minutes of the meetings to all relevant parties

2. Maintaining all statutory registers; Submitting all filings, applications and documents required to the Registrar of Companies, Central Government and/or the Ministry of Corporate Affairs

3. Filing of Balance Sheet, Profit & Loss Account and filing of Annual Return with the Ministry of Corporate Affairs as per timeline; Undertake preparation of Directors Report and submit to MD for review and signoff;

4. Supporting the company and its subsidiaries in secretarial and corporate law matters in order to meet all statutory requirements and compliance for the organization

5. Preparing and filing various forms as required under IT Act;

6. Reviewing Transfer Pricing documents and submitting it to Head of Finance and MD for review and sign off; Preparing data for submission to be made during transfer pricing assessment

7. Should have complete knowledge of Equity and Share market projection

8. Assisting relevant teams in IT assessment, litigation and appeal filing; Preparing tax data in relation with budget and forecast; Computing Income Tax and file Income Tax Return with Income tax Authorities; Compute Advance Tax/ MAT liability as required;

9. Calculating and filing tax liability, as per time line; Signing the TDS certificate after review and validation in order to meet all direct tax statutory formalities for the organization

10. Coordinating and reviewing the internal audits carried out
