Company Secretary & Legal Professional - South Asia - Females Preferred
Principal responsibilities include:
Legal & Company Secretarial -
- Drafting, reviewing and negotiating terms & conditions of international and domestic sale/supply agreements and service/maintenance agreements with customers for the supply of water, wastewater and process treatment chemicals, equipment and services, including all other appropriate contract documentation (pre and post execution), ancillary agreements (including sourcing/supply-chain-related agreements), distribution agreements, letters and guarantees;
- Providing legal support to the contract execution team regarding contract interpretation and guidance, claims & dispute management, regulatory compliance and other issues that may develop during pre and post contract execution;
- Playing a key role in any litigation/arbitration matters, handling litigation/arbitration proceedings in close coordination with the business, and managing outside counsel and legal spend;
- Handling compliance and administration of company secretarial matters for various group companies in the region (including conducting meetings and preparation of forms, resolutions, agendas, minutes, maintenance of records, registers, managing interactions with statutory auditors) and providing general company law advisory support to ensure entities- compliance with applicable laws and regulations
- Provide legal support in ensuring proper compliance under the labour and employment regulatory framework of the country.
- Keeping abreast of legal developments impacting the business and the conduct of business across the region;
Ethics & Compliance -
- Providing ethics/complianceleadership and supportand enriching the compliance ecosystem, including hosting trainings, conducting investigations and general advisory support at all levels of the organization;
- Advising and training teams to understand legal and compliance requirements, including contract terms & conditions, local bidding requirements & procurement policies, and general company policies and procedures;
- Providing assistance in company initiatives such as simplification and legal productivity improvement;
- Other assignments as may be instructed by the General Counsel from time to time.
