Company Secretary & Legal Affairs Manager - Auto OEM (6-12 yrs)

1. JOB PURPOSE:

A qualified Company Secretary & a Lawyer with 6-9 years of work experience. To act as a company secretary of the company 7 conduct the required board meetings & general meetings.From a secretarial perspective, overseeing the activities of the Board; ensuring compliance to statutory guidelines and driving good corporate governance practices across all the entities.

From a legal perspective, developing strong legal systems and processes; providing timely support to all the functions and departments of NMIPL; and protecting the interests of the organization by preparing a strong legal defence in conjunction with the external counsel.

EXPECTED END RESULTS MAJOR ACTIVITIES :

1. Develop strong legal systems across the company to provide legal services in an efficient manner

- Set up systems for monitoring and managing adherence to policies and laws.

- Ensure comprehensive communication and training to all departments to ensure awareness of legal rights and obligations under the various laws and guidelines

- Assist the top management in interpreting situations that warrant legal involvement.

- Develop strong legal record keeping systems and processes and provide such documents to the relevant departments in a timely manner

- Ensure compliance of all entities to all applicable state and central laws

2. Provide accurate and timely legal support to various departments across the legal entities

- Prepare an review all service level agreements on behalf of the organization and also assess any service agreements sent by external service providers (suppliers, contractors, vendors etc)

- Draft master agreements/ service level agreementsand interact with part suppliers to explain the terms and conditions of these agreements (payment terms, intellectual property rights, warranty terms etc)

- Coordinate with finance in relation to Dealer related issues and provide inputs on the same

- Support Dealer Development Team in relation to drafting the agreements for dealerships and resolve issues relating thereto

- Provide support in relation to matters of new product development, advertisement agreements etc

3. Protect the interests of the organization in the various courts of law in relation to assigned legal matters - Interact with NMIPL and other entities in relation to cases

- Interact with external counsel (on a need basis) and provide them all the facts of the case in a timely manner thus ensuring that the entities are well represented in the courts of law

4. Oversee the activities of the Board of Directors and ensure that they are in compliance with the applicable statutory guidelines and laws

- Provide advice and guidance to Directors on their obligations under the Company's Articles of Association, company law and other relevant laws and regulations

- Manage Board processes such as Board and committee papers and circulation of agendas, minutes, discussion papers, proposals for the board and its committees

- Ensure that the Board has the information it needs to make informed decisions

- Ensure that the company holds the AGM within the time limits specified

- Organize and administer Board meetings this includes, on time notifications, agenda preparation, preparing resolutions, preparing the minutes of the meetings and making them available to auditors etc

- Ensure that all statutory filings are made in a timely manner

5. Drive good corporate governance practices across the legal entities and ensure compliance to the same - Advise the Board on good practice in corporate governance, e.g. provide guidance on the legal implications of the way it discharges its duties, runs meetings, makes decisions, etc.

- Promote the compliance framework to safeguard the integrity of the organization

- Counsel the board on standards of ethical and corporate behavior

- Advise on risk management and corporate responsibility matters

EDUCATIONAL QUALIFICATIONS -

Company Secretary plus Bachelors of Law

RELEVANT EXPERIENCE - 6-9 plus years of experience
