Company Secretary - Internet/Online/Pharma

RESPONSIBILITIES : 

This Role would handle all secretarial matters including :

- Assist the Board in conducting the affairs of the company - convening meetings, drafting minutes, resolutions, etc

- Due diligence for the Board, ensuring and complying with corporate governance and liasoning with the Regulator for corporate requirements

- Ensuring timely completion of annual filings and secretarial compliance and custodian of all legal and statutory documents

- Compliances with other laws mandated by the Reserve Bank of India, Foreign Exchange Management Act, STPI/SEZ, etc

- End to end Incorporation of new companies and closure of companies, branches and legal entities including due diligence

- Conducting research on different laws and regulations in various geographic, economic and political environments, and advisory on non-routine transactions

- Reviewing, drafting and negotiating legal agreements, memorandum of understanding, etc

- Exposure to automation of compliance function is preferred

SKILLS AND EXPERIENCE: 

- Candidate should be a member of The Institute of Companies Secretaries of India with a relevant experience of 5-10 years, LLB is preferred

- Thorough understanding and knowledge of The Companies, Act and other regulations

- Accounting knowledge will be an added advantage.

- Advanced practical knowledge of Microsoft Office Suite

- Excellent organizational and analytical ability; outstanding judgment; a keen attention to detail; and proven drafting, communication, collaboration and interpersonal skills
