Company Secretary

KRAs:

1. Assume complete ownership, accountability and responsibility for all CS functions, as required under law and applicable to a listed company in India.

2. Board of Directors, shareholders, investors and other stake-holders management with aplomb, high degree of ethics and professionalism, and excellent communication skills.

3. Play active role in fund-raising activities thru investors community as well as IPO, developing creative funding models, documentation and compliances.

4. Convene, organize and conduct meetings of the Board, Shareholders, Committees in a timely and orderly manner, and with high degree of professionalism and governance.

5. Ensure timely, correctly and orderly maintenance of statutory records, as required.

6. Nurture, implement and enforce gold standard and sustainable corporate governance culture across the Company.

7. Manage and ensure compliance, in a timely and orderly manner, with all regulatory matters under the corporate laws including RBI, SEBI, MCA, stock exchanges.

8. Work effectively with different levels of management and provide day to day advice on a wide range of matters including corporate, privacy, governance, as well as on Govt. policies and initiatives on Oil/Energy/Power domain in India.

9. Develop SOPs, Guidelines, playbook and document templates as may be required from good governance and compliance perspective in connection with activities of the Company.

10. Monitor statutory compliances across the Company and advise/report to the Board and Management accordingly.

11. Collaborate with relevant stakeholders to ensure timely identification, assessment, evaluation, and mitigation thru proper strategic and management action plans, as necessary.

12. Be sensitive to rapidly changing work and business priorities and have an adaptable and flexible approach to work to ensure timely, positive and constructive counselling.

Pre-requisites:

1. Minimum post-qualification relevant experience of 10 years in successfully managing and leading corporate secretarial matters in reputed listed entities in India.

2. Rich experience in dealing with capital markets, stock exchanges, regulatory bodies like SEBI, RBI, MCA etc.

3. Experience in driving and managing fund raise activities thru IPO would be added advantage.

4. Mindset and commitment to stay and be part of long-term growth story of the Company.
