Company Secretary - Information Technology/Telecom

Qualification :

- A graduate B.Com/ L.L.B with an excellent extracurricular record. This graduation qualification has to be augmented by a degree of CS (Mandatory).

- Around 20 years of experience in handling Compliance and Secretarial Function in large companies, with at least 5 years in a leadership role heading Compliance & secretarial activities of a large multinational conglomerate. Experience in handling Public issues and pre and post IPO issues of large companies will be preferred.

- Age : Around 40 years

- Desired industry - Information Technology/Telecom

Key Responsibilities :

- Lead effectively the compliance & secretarial team

- Support the Board and management in maintaining & enhancing Governance culture in the Company

- Proactively ensure Governance & compliance with all applicable laws through adequate Systems & processes, particularly with regard to Board processes, Board, committee & General meetings, reporting to statutory & regulatory bodies, Stakeholders, including shareholders, Disclosures in Annual & other reports& websites

- Effectively plan, manage & implement Capital raising programs

- Support the management by resolving issues related to corporate Laws while dealing with Mergers & acquisitions, Take overs, competition Etc.

- Drafting & vetting relevant commercial contracts & agreements/documents related to Joint ventures, Power of Attorney.

- Preparation of appropriate Management information reports.
